MOS HOUSE(01653.HK)擬1500萬港元收購智辰50%股份
格隆匯9月14日丨MOS HOUSE(01653.HK)公吿，於2023年9月14日，買方Unique City Limited(為公司直接全資附屬公司)、賣方何紫怡與公司訂立買賣協議，據此，賣方有條件同意出售而買方有條件同意收購銷售股份，相當於目標公司智辰有限公司全部已發行股本50%，總代價為1500萬港元，將透過按發行價每股0.340港元配發及發行44,117,000股代價股份方式支付。
代價股份相當於公吿日期公司已發行股本總額約18.38%，公司經配發及發行代價股份擴大後已發行股本總額約15.53%。
目標公司於2023年二月以香港承建商身份開展業務，主要從事住宅、工業及商業樓宇太陽能板安裝的項目管理、提供可再生能源諮詢服務以及增值服務(包括但不限於保養服務及裝修工程)。
增加使用可再生能源是二零五零年前實現碳中和的重要手段之 一。誠如《香港氣候行動藍圖2050》所載，政府將致力增加可再生能源在發電燃料組合中的份額。誠如上文所述，目標公司從事住宅、工業及商業樓宇太陽能板安裝的項目管理。目標公司為其客户提供廣泛的商業解決方案，以滿足客户的各種需求。解決方案包括投資模式及統包模式。根據投資模式，目標公司投資於太陽能板系統，而客户為項目擁有人。項目擁有人可按高於正常電價的價格向電力公司出售其產生的可再生能源。項目擁有人賺取上網電價收益並向目標公司支付服務費。根據統包模式，目標公司向客户提供建造太陽能板系統的工程、採購及建造服務。客户擁有項目及設備並賺取全部上網電價收益。
目前，目標公司已投資於住宅、工業及商業樓宇的三個太陽能板系統，以向樓宇擁有人賺取服務費，並有多個有關安裝太陽能板系統的潛在項目正在磋商。董事相信，收購事項乃理想商機，可透過取得綠色產業業務網絡進一步擴展本集團於可再生能源產業業務，亦可多元化及擴闊本集團收入來源及客户基礎。本集團將繼續致力於擴大其產品組合，以提高產品組合的多樣性。董事認為，銷售太陽能電池板系統與本公司向零售客户以及非零售項目客户銷售高端瓷磚產品的核心業務相輔相成。
董事亦認為，收購目標公司將使本集團能夠結合集團瓷磚產品及目標公司的節能服務解決方案及裝修工程，向客户提供更全面的服務組合，從而將提升集團的競爭優勢。賣方已向買方保證，目標公司於相關年度經審核財務報表所示經審核除税前純利將不少於300萬港元，為公司提供有保障的溢利來源。
