雅克科技(002409.SZ)：擬增資瀋陽亦創並由其主導購買SSHK的90%的股權 間接進入泛半導體設備洗淨服務行業
格隆匯9月13日丨雅克科技(002409.SZ)公佈，公司擬與瀋陽先進製造技術產業有限公司(以下簡稱"瀋陽先進")共同投資瀋陽亦創精密科技有限公司(以下簡稱"瀋陽亦創")，並在後續自行或通過成立的一家有限責任公司(以下簡稱"雅克科技投資方"，雅克科技為控股股東)與瀋陽先進成立的有限合夥企業(以下簡稱"瀋陽先進投資方")共同增資瀋陽亦創，由瀋陽亦創與 SK enpulse Co., Ltd.(以下簡稱"SK enpulse 公司")簽署《收購協議》，購買其持有的 SKC solmics Hong Kong Limited(以下簡稱"SSHK")90%的股權。
本次交易後，瀋陽亦創的註冊資本為 21,600.00 萬元，雅克科技投資方作為參股方，擬以自有或自籌資金出資人民幣 7,200.00 萬元(其中，雅克科技作為控股股東，出資額不超過 7,200.00 萬元，具體金額以實際出資額為準)，持股比例為33.33%。
公吿稱，精密洗淨服務行業是工業清洗行業的重要分支，精密洗淨服務是精密生產設備部件組裝前的先決條件，也是製程設備的日常保養和維護的先決條件。隨着半導體工業和顯示面板工業快速發展，使產品不斷向高精密性、高技術、多種技術手段相結合的方向發展，從而催生出精密洗淨在泛半導體設備清洗領域的應用。目前我國泛半導體精密洗淨服務行業仍處於上升階段，在技術水平上仍有較大的提升空間，市場存在巨大潛力。
公司通過增資瀋陽亦創並由其主導購買SKC solmics Hong Kong Limited的90%的股權，間接進入泛半導體設備洗淨服務行業，同時進一步增進上市公司與半導體產業方的合作關係，拓展行業資源，進一步增強公司核心競爭力，助力公司高質量、可持續發展。
本次交易涉及的經營主體愛思開希半導體材料(無錫)有限公司2022年的淨利潤為-10,741,832.80元，暫時處於虧損狀態。隨着產能釋放，上市公司協同效應的發揮，愛思開希半導體材料(無錫)有限公司的收入水平及市場佔有率將得到提升。敬請廣大投資者注意投資風險
