中國新城鎮(01278.HK)：金羅店公司與當地政府簽署新合作協議
格隆匯9月7日丨中國新城鎮(01278.HK)公佈，根據《合作協議》約定，公司的非全資附屬公司上海金羅店開發有限公司("金羅店公司")將於2023年8月20日前完成西部區域剩餘市政基礎設施及公共配套設施工作，並配合上海市寶山區羅店鎮人民政府("當地政府)完成移交。當地政府同意向金羅店公司返還東部拆遷款及安置費用共計人民幣152,258萬元，其中部分將會作為相關建設開發費用。同時，當地政府委託金羅店公司作為東部區域一級開發項目的代建單位，負責開發項目的建設管理工作。雙方已於2019年7月簽署了《羅店新鎮東部區域土地一級開發項目管理合同》("委託管理合同")，約定了當地政府委託金羅店公司代建羅店新鎮東部區域的相關事宜。目前，金羅店公司已收到《合作協議》約定的全部款項。
近日，金羅店公司與當地政府簽署了《羅店新鎮東部片區九年一貫學校及幼兒園項目建設合作協議》("新合作協議")。
根據新合作協議，經對項目區域發展情況及居民需求調研，雙方同意並確認，金羅店公司不再承擔《合作協議》下該項目西部區域一所高中的建設責任，當地政府同意將該高中的建設資金用於建設東部區域一所九年一貫制學校及一所幼兒園，由金羅店公司主導實施並進行管理，建成後移交當地政府。結合東部區域學校的建設週期，雙方同意新合作協議項下的合作自簽署之日起，至2028年8月20日止，屆時如需延期，雙方另行協商。
同時，雙方就此前當地政府在委託管理合同下應支付給金羅店公司的2,500萬元管理費用支付安排達成一致。具體支付時間和金額為：新合作協議簽署後20日內支付1,500萬元人民幣；2024年3月31日前支付500萬元人民幣；2025年3月31日前支付500萬元人民幣。
目前金羅店公司在羅店新鎮西區的市政及配套設施建設工作已基本完成並移交當地政府(新合作協議約定變更的高中除外)，新合作協議的簽署主要為雙方就原《合作協議》下合作事項的調整，金羅店公司作為東部區域學校及幼兒園建設的主導實施方及管理方，建設資金計劃來自《合作協議》約定的西部該高中建設費用，不涉及集團在羅店新鎮項目上進行新增投資。
