太古地產(01972.HK)擬收購上海洋涇地塊及前灘地塊的部分權益 掛牌出讓價合計97億元
格隆匯9月4日丨太古地產(01972.HK)公佈,太古地產(i)透過其全資附屬公司錦洋,就掛牌出讓提交投標以收購東袤股份,以及(ii)透過其全資附屬公司聯峯,就掛牌出讓提交投標以收購耀龍股份。錦洋及聯峯已獲知會彼等分別是掛牌出讓下東袤股份及耀龍股份的唯一合資格競投人。陸家嘴開發擁有收購目標股份的優先購買權,其已公佈將召開股東大會投票批准放棄該等權利且有利害關係的股東將回避表決。如果放棄相關權利獲批准,且錦洋及聯峯其中一方或雙方均成功競投東袤股份及/或耀龍股份(視情況而定),相關交易將於訂約方訂立具法律約束力文件後進行;如果放棄相關權利不獲批准,陸家嘴開發預期將於掛牌出讓就目標股份提交投標,屆時陸家嘴開發將與錦洋及/或聯峯就目標股份進行競投,在該等情況下,如果錦洋及聯峯其中一方或雙方均成功競投東袤股份及/或耀龍股份(視情況而定),相關交易也將於訂約方訂立具法律約束力文件後進行。
據悉,東袤股份佔東袤公司註冊資本的40%。東袤公司是一家於中國註冊成立的有限公司,上海陸家嘴(其中一名賣家)及陸家嘴開發分別持有其40%及60%股權。東袤公司的主要資產是洋涇地塊。掛牌出讓公吿顯示東袤股份於掛牌出讓的保留代價為人民幣659,423萬元。
耀龍股份佔耀龍公司註冊資本的40%。耀龍公司是一家於中國註冊成立的有限公司,前灘投資(其中一名賣家)及陸家嘴開發分別持有其40%及60%股權。耀龍公司的主要資產是前灘地塊。掛牌出讓公吿顯示耀龍股份於掛牌出讓的保留代價是人民幣311,574萬元。
公吿稱,洋涇地塊及前灘地塊位於上海浦東新區中心地帶。現時預期該等地塊將發展作零售、辦公及住宅用途,而洋涇地塊除此以外亦會作文化用途。交易符合太古地產繼續專注於發展中國內地市場及透過發展綜合項目帶動市區創新求變的主要策略,預期可提升太古地產整體物業組合的長遠價值。
