亞洲資源(00899.HK)擬收購兩家礦產資源公司股權 總代價2億港元
格隆匯8月24日丨亞洲資源(00899.HK)發佈公吿，2023年8月23日，東彙集團有限公司作為買方(公司的直接全資附屬公司)、創世金融集團有限公司作為賣方、該等目標公司與該等擔保人訂立該等協議，據此，賣方有條件同意出售銷售股份A(相當於目標公司A的全部已發行股本)及銷售股份B(相當於目標公司B的73.1%已發行股本)以及股東貸款。
該等目標公司及其附屬公司重組完成後，目標公司A將透過湖南辰熹及九源礦業間接持有位於中國的九源項目，而目標公司B將透過湖南虹嘉及金豪礦業間接持有位於中國的金豪項目。買方就該等收購事項應付的總代價為2億港元。買方將通過發行承兑票據的方式結付代價約1.568億港元及通過按發行價每股代價股份0.23港元配發及發行約1.877億股代價股份的方式結付餘下款項4316.64萬港元。
目標公司A(即永亦投資控股有限公司)為一間於英屬處女羣島註冊成立的投資控股有限公司，其主要資產為湖南辰熹的全部股權，重組完成後湖南辰熹將持有九源礦業的全部股權。九源礦業持有九源項目。由九源礦業擁有的九源項目位於雲南省普洱市鎮沅縣。九源項目擁有采礦許可證，面積0.9844平方公里，礦產資源為鉛和鋅。 九源項目在2003年開始基礎設施建設並開展小規模採礦活動直到2013年。2014年至2016年，由於國際及國內金屬市場萎縮，該礦山並無進行正常採礦活動。九源項目在2017年至2021年期間開採4.533萬噸礦石。自中國於2022年採取嚴格疫情管控措施以來，2022年及2023年並無進行任何採礦活動。
目標公司B(即永名投資控股有限公司)為一間於英屬處女羣島註冊成立的投資控股有限公司，其主要資產為湖南虹嘉的全部股權，重組完成後湖南虹嘉將持有金豪礦業的全部股權。金豪礦業持有金豪項目。由金豪礦業擁有的金豪項目位於雲南省普洱市鎮沅縣。金豪項目屬礦產資源項目，擁有勘查許可證，面積7.31平方公里，礦產資源為鉛、銅及銀。 金豪項目有勘探歷史，但並無開採歷史。九源項目及金豪項目均位於普洱市礦化富集區內，有機會擴大勘查及開採邊界，大大增加鉛、鋅、銅、銀等多種礦產和礦牀的資源儲量。
