領地控股(06999.HK)重組與眉山宏大七個物業項目

領地控股(06999.HK)公布,其三間間接全資附屬眉山領地、眉山華瑞及領地集團,與眉山宏大等訂立股權轉讓協議,以重組集團與眉山宏大共同持有的七個物業項目,涉及一間間接非全資附屬瀘州泛亞房地產開發的內部企業重組,眉山海納將其持有的97.46%股權轉讓予眉山領地,代價約為2.9億元人民幣(下同),及向眉山宏大出售公司於三間非全資附屬眉山川瑞達、眉山華瑞宏大及眉山海納間接持有的全部55%股權,總代價約為8.11億元。 瀘州泛亞房地產開發持有位於四川省瀘州市長江小學東側的物業項目,建築面積為18.04萬平方米,用於住宅、商業、停車場、配套區域、其他用途。該物業項目已完工並已進入預售階段。 至於眉山川瑞達、眉山華瑞宏大及眉山海納共持有位於眉山市、宜賓市及遵義市的六個商住物業項目。 公司預期出售事項將有利於公司加強其現金流,從而使公司能夠更好地應對任何未來挑戰並堅持其審慎經營策略。建議交易所得款項淨額將用作集團的一般營運資金,可進一步促進符合「保交樓」及「保經營」的要求。 另一方面,集團擬進行重組,以收購瀘州泛亞房地產開發擁有的已竣工物業項目的銷售控制權。由於該物業項目已進入預售階段,而公司對該物業項目的價格擁有最終控制權,公司相信可於短期內實現回報最大化及補充現金流。
