長飛光纖光纜(06869.HK)擬收購RFS德國及RFS蘇州全部股權
格隆匯8月2日丨長飛光纖光纜(06869.HK)公吿，於2023年8月1日(中歐時間)，公司及YOFC德國(公司的間接全資附屬公司)與RFS控股訂立股份收購協議，據此RFS控股有條件同意出售，及(i)YOFC德國有條件同意購買RFS德國的全部股權；(ii)公司有條件同意購買RFS蘇州的全部股權，代價相等於基本代價710萬歐元根據股份收購協議的條款及條件作出調整後的金額。
交割後，RFS德國及RFS蘇州將由公司全資擁有，而彼等財務業績將綜合併入集團的財務報表。
集團為全球領先的通信線纜生產商，主要從事生產和銷售各種標準規格的光纖預製棒、光纖、光纜，以及客户訂製的各類光纖光纜、光學器件與模組、有源光纜、海纜、射頻同軸電纜及其他輔助產品及配件。近年來，集團一直積極拓展其產品在不同領域應用，包括軌道交通及基站，並已可提供全系列相關產品及綜合解決方案。
RFS德國及RFS蘇州專門生產包括射頻電纜、泄漏電纜及混合電纜等電纜，可應用於鐵路運輸及基站網絡等領域。具體而言，集團預期將受惠於目標集團公司的獨立研發、成熟的產品技術及創新能力，包括其先前存在的知識產權。預計業務整合將促進工藝技術及產品開發的改進，推動產品多元化及提高本集團資產組合的價值，從而提升電力電纜業務的利潤水平。於電纜業務收購事項後，預期擴大產品組合可鼓勵橫向產品的交叉銷售，從而滿足目標集團公司及集團最初向其各自客户提供的產品類別無法滿足的額外及互補需求。
目標集團公司擁有發展完備的生產設施，由專業管理團隊管理，並由經驗豐富的生產單位運營。集團一直快速拓展電纜業務，通過電纜業務收購事項，整合生產資源，將可提升整體運營效率以服務擴大後的客户羣。集團亦可以利用目標集團公司的生產專門知識及專利。因此，業務整合將使本集團得以利用目標集團公司擁有積累的技能和經驗，優化其生產電纜的產能。
除了升級產能佈局外，目標集團公司亦在其客户中擁有較高的品牌知名度，並在集團未提供服務的國際市場(特別在歐洲、中東及非洲)開發了穩固客户基礎。目前，集團的主要客户位於中國，憑藉目標集團公司的地理覆蓋面，電纜業務收購事項將在新國際市場釋放商機，同時為集團現有客户實現多元化。
預期電纜業務收購事項將可在全新及現有市場提升相關產品的利潤水平及銷售收入，並致使集團的其他分部收入進一步增長。
