HM INTL HLDGS(08416.HK)：擬出售盧森堡一翻譯公司22.85%股權
格隆匯8月1日丨HM INTL HLDGS(08416.HK)宣佈，於2023年7月31日，賣方(包括公司一家間接全資附屬公司HM Investment)及買方(各自為一名獨立第三方)訂立買賣協議，據此，(i)Wordbee賣方有條件同意出售而Wordbee買方有條件同意收購出售公司全部已發行股本(包括銷售股份)；及(ii)Wordcraft賣方有條件同意出售而Wordcraft買方有條件同意收購Wordcraft全部已發行股本。
於Wordbee賣方將予出售的出售公司股份當中，HM Investment將予出售的銷售股份佔出售公司全部已發行股本約22.85%。出售公司為公司的聯繫人士。集團並無持有Wordcraft的任何權益。
據悉，出售集團包括出售公司及其附屬公司(即Wordbee LLC及Wordbee Egypt)。出售公司為一間於盧森堡註冊成立之科技有限公司。其主要從事內容管理軟件及網絡合作空間的業務發展、翻譯流程管理及全球化╱內容本地化、出租翻譯及本地化網絡空間、為盧森堡內容科技公司提供翻譯服務、本地化及全球化。該公司於大型項目的工具及語言科技訓練及諮詢方面饒富經驗。Wordbee LLC為一間於美國註冊成立之有限公司，由出售公司全資擁有。Wordbee Egypt為一間於埃及註冊成立之有限公司，分別由出售公司及Andre Hemker先生擁有90%及10%。Wordbee LLC及Wordbee Egypt均主要從事提供翻譯科技以及內容策略及解決方案。
經考慮(i)將予收取最高上限為300萬歐元(相當於約2610萬港元)的代價；及(ii)於一間聯營公司的權益法投資賬面值，連同有關出售事項所產生的估計成本約108.88萬歐元(相當於約947.27萬港元)的差額後，預期集團將從出售事項錄得最高估計利益淨額約191.12萬歐元(相當於約1662.73萬港元)。
公司董事認為出售事項乃集團變現其於出售公司之投資的良機，並允許集團更有效部署其資源。董事會認為出售事項允許集團出售其投資，以交換所得款項作為一般營運資金，以及當有關機遇出現時進一步擴張集團業務。此外，出售事項將為集團提供即時現金流量，以增強其現金狀況及改善集團的整體流動資金。
集團擬運用出售事項之所得款項淨額作為一般營運資金及進一步擴張集團業務。經考慮出售事項之所得款項淨額及集團當時的財務狀況，公司或考慮於2023年年末宣派特別股息。
