理士國際(00842.HK)擬2.064億元收購天津傑士及順德湯淺的70%股權 進一步擴大業務營運規模及範圍
格隆匯7月25日丨理士國際(00842.HK)宣佈，於2023年7月25日，公司全資附屬公司Leoch Battery Company Limited擬向賣方GS Yuasa International Limited收購各目標公司(天津傑士及順德湯淺的統稱)70%的股權，初始現金代價約人民幣2.064億元。於完成後，各目標公司將成為公司擁有70%股權的附屬公司，且彼等各自的財務業績、資產及負債將合併至集團的財務業績。
據悉，天津傑士是一間於1991年在中國成立的公司，主要從事製造及銷售汽車用鉛酸蓄電池，擁有逾30年的電池製造經驗。天津傑士已成為諸多全球知名汽車製造商的優秀配套供應商，全國售後市場POP服務點多達20,000多家，旗下有GS電池等三大品牌。於公吿日期，其由賣方擁有92.5%及廣東湯淺擁有7.5%。
順德湯淺是一間於2002年在中國成立的公司，專業開發、製造及銷售YUASA湯淺品牌的汽車與摩托車用鉛酸蓄電池。自順德湯淺於2003年開始生產以來，其產品已配套本田、鈴木、東南、三菱、豐田、馬自達等各大汽車廠及摩托車廠，並銷往國內售後市場，還出口到日本、英國等國家。優質的產品和服務獲得了廣大用户的一致認可和好評，歷年都獲得優秀供應商及品質優勝獎等表彰。於公吿日期，其由賣方全資擁有。
公吿稱，目標公司主要從事開發、製造及銷售汽車及摩托車用鉛酸蓄電池，此與集團的主要業務一致。目標公司在市場上聲譽卓着，並在其領域擁有可觀的增長前景。公司一直在尋找機遇，以通過收購管理完善、技術先進且從事其主要業務的公司來擴大其業務規模及市場份額。目標公司符合甄選標準，且董事會認為，收購事項為集團進一步擴大業務營運規模及範圍、增加市場份額及提升在中國的競爭力提供了黃金機遇，這符合集團的策略需求。由於共享資源(如技術訣竅、共享營銷及銷售隊伍)以及規模經濟，預期收購事項將為集團及目標公司創造協同效益。監於目標公司是全球最大汽車用鉛酸蓄電池製造商之一的背景，集團與目標公司的合併在市場定位方面將創造獨特的策略地位。此外，通過利用目標公司所製造產品的技術及質量，集團將獲得必要的資本和技術支援，吸引高質量及大型的目標及╱或其他策略市場參與者進一步擴展及合併業務。此外，集團預期通過結合目標公司的專業知識與本集團在中國建立的完善分銷渠道，從而可獲得重大的長期利益。買方、賣方與廣東湯淺將訂立的合營協議將記錄訂約方各自的權利和義務，以及訂約方之間關於目標公司所有權、管理及營運的安排，且並不涉及集團的任何資本承諾。認沽期權安排旨在促進各方的關係，以更好地發展合營企業，並鼓勵合營企業各方履行彼等各自的義務及責任。
