威誠國際控股(08107.HK)獲劉志榮折讓約69.72%提收購要約 下午1時正起復牌
格隆匯7月21日丨威誠國際控股(08107.HK)公佈，於2023年7月10日交易時段後，賣方Metro Vanguard Limited與要約人劉志榮先生訂立股份轉讓協議，據此賣方有條件同意出售及轉讓，而要約人有條件同意購買無任何產權負擔的銷售股份，現金代價為5772.6萬港元(相當於每股銷售股份約0.7697港元)，將通過抵銷貸款的全部本金5250萬港元(由要約人(為及代表貸款人)以首次提款及第二次提款的形式向賣方墊付)及貸款期限內就代價應付利息5,225,952港元的方式支付。
銷售股份為股份押記項下的7500萬股股份，相當於公司於本聯合公吿日期已發行股本總額的約56.82%。於本聯合公吿日期，股份轉讓協議項下的所有先決條件經已達成及落實。
緊隨完成後，要約人及其一致行動人士將擁有7500萬股股份(相當於公司於本聯合公吿日期已發行股本總數的56.82%）。因此，要約人於完成後將須根據收購守則規則26.1就要約人及其一致行動人士尚未擁有或同意將予收購的所有已發行股份提出要約。每股要約股份現金2.18港元，較7月10日收市價每股7.20港元折讓約69.72%。
要約人，74歲，於服裝業擁有逾50年的經驗。要約人曾為南洋實業有限公司(一間於香港註冊成立的公司，主要從事服裝進出口業務)的前董事及Actex Textiles Limited(一間於香港註冊成立的公司，主要從事服裝製作)的前董事。於服裝業的整個職業生涯中，要約人已於服裝廠的管理、運營及管理以及服裝及服飾的進出口業務方面積累了豐富經驗。要約人目前為Actex International Limited(一間於香港註冊成立的有限公司，其主要從事銷售服裝及服飾)的唯一股東兼唯一董事。
要約人的意向為於要約完成後將維持及持續經營公司的現有主要業務活動。要約人確認除非出現適當機會，否則其無意於要約期內及要約期結束後進一步擴展及╱或剝離公司現有業務。要約人將對集團的現有主營業務、營運、財務狀況、投資、建議投資進行檢討，以就集團的未來業務發展制定長期業務計劃及策略。憑藉要約人在服裝業的經驗、行業知識及網絡，要約人有意利用要約人與集團之間的協同效應，在未來探索相關的業務機會。
要約人擬於要約截止後維持股份於聯交所的上市地位。要約人不擬行使任何其可獲得的權力，以於要約截止後強制收購任何發行在外股份。要約人將連同公司，合理地盡力維持股份在聯交所的上市地位，並促使公司全部已發行股本中不少於25%的股份由公眾持有，以符合GEM上市規則。
此外，公司已申請股份自2023年7月21日下午一時正起於聯交所恢復買賣。
