金信諾(300252.SZ)：本次剝離磷酸鐵鋰業務工作已基本完成
格隆匯7月13日丨金信諾(300252.SZ)公佈，此前披露，公司擬將控股子公司中航信諾(營口)高新技術有限公司(“中航信諾”，公司持股65%)與磷酸鐵鋰相關的資產、業務剝離出售給昆明川金諾化工股份有限公司(“川金諾”)全資子公司廣西川金諾新能源有限公司(“廣西新能源”)。為完成前述交易，公司成立營口川信諾高新技術有限公司(“營口川信諾”，公司持股65%)，由營口川信諾收購中航信諾磷酸鐵鋰業務相關資產，營口川信諾完成前述資產收購後，廣西新能源將收購營口川信諾全部股權。
營口川信諾與中航信諾簽訂《資產收購協議》，本次營口川信諾收購中航信諾相關資產交易的最終價格為7439.577萬元。中航信諾及營口川信諾資產轉移時均為公司合併範圍內的控股公司，之間的資產轉讓及收購無需提交公司董事會、股東大會審議，亦不構成《上市公司重大資產重組管理辦法》規定的重大資產重組，也不構成關聯交易。
截至公吿披露日，公司本次剝離磷酸鐵鋰業務工作已基本完成，具體如下：
1、營口川信諾已完成對中航信諾與磷酸鐵鋰相關的資產、業務的收購，現營口川信諾具備磷酸鐵鋰正常生產和銷售能力。
2、信永中和會計師事務所(特殊普通合夥)已出具對營口川信諾的《審計報吿》(編號：XYZH/2023KMAA2B0276)，審計淨資產74,743,422.50元。根據《股權轉讓協議》，廣西新能源以現金74,743,422.50元收購營口川信諾100%股權，其中應支付公司轉讓價款48,583,224.63元。具體內容詳見公司於同日披露於巨潮資訊網的《審計報吿》。
3、廣西新能源收購營口川信諾100%股權事宜已完成工商變更登記和交割手續。
公司於2016年與中國航空工業集團公司瀋陽飛機設計研究所控制的公司營口航盛科技實業有限責任公司、珠海橫琴新區凱天防務投資中心(有限合夥)共同出資設立中航信諾，並於2019年取得中航信諾控股權，截至目前，公司持有中航信諾65%股權。
中航信諾主要為客户提供特種測試電纜組件、測試設備，是公司特種領域的重要子公司；同時中航信諾有部分磷酸鐵鋰正極材料業務，該部分業務目前年產能約4000噸。考慮到目前行業格局正在革新變化，中航信諾的磷酸鐵業務若無法獲得持續投入，其未來經營情況將存在較大的不確定性，而磷酸鐵鋰材料並非公司主營業務方向，為了促使磷酸鐵鋰業務獲得戰略支持，同時促進資金迴流主營業務，公司剝離出售中航信諾磷酸鐵鋰業務。
基於前述背景，公司成立營口川信諾高新技術有限公司(“營口川信諾”)，由營口川信諾收購中航信諾的磷酸鐵鋰業務及資產，前述資產交割完成後由廣西新能源收購營口川信諾的全部股權，並完成公司磷酸鐵鋰材料業務的剝離。
截至目前公司磷酸鐵鋰相關資產及營口川信諾股權均已完成交割，同時本次剝離磷酸鐵鋰材料業務的交易不會對中航信諾的特種業務產生不利影響。
