眾安智慧生活(02271.HK)預計7月18日上市 引入禾元商貿等作為基石
格隆匯6月30日丨眾安智慧生活(02271.HK)發佈公吿，公司擬全球發售1.26668億股，其中中國香港發售股份1266.8萬股，國際發售股份1.14億股，另有15%超額配股權；2023年6月30日至7月11日招股，預期定價日為7月11日；發售價為每股發售股份1.18-1.48港元，每手買賣單位2000股，入場費約2990港元；招商證券國際及華泰國際為聯席保薦人；預期股份將於2023年7月18日於聯交所主板掛牌上市。
公司為總部位於杭州，深植於浙江省及長江三角洲地區，且信譽良好的綜合物業管理服務提供商。重組前，集團的住宅及非住宅物業(包括公共物業及其他物業(如中國政府機關辦公樓、工業園區、醫院及學校)，但不包括純商業物業(如商業樓宇與寫字樓及服務式公寓))的物業管理業務由眾安集團進行，純商業物業(包括服務式公寓)的物業管理業務由中國新城市集團進行。現時組成集團的附屬公司自1998年起向餘下集團提供物業管理服務已超過24年。於2020年、2021年及2022年，由余下集團及其合營企業及聯營公司發展的物業所產生的整體收入合共約為人民幣1.824億元、人民幣2.297億元及人民幣2.47億元，佔公司於各自年度總收入約79.0%、77.5%及77.2%，而獨立第三方房地產開發商開發的物業約為人民幣4830萬元、人民幣6600萬元及人民幣7280萬元，佔公司於各自年度總收入約21.0%、22.5%及22.8%。
截至2020年、2021年及2022年12月31日，由余下集團或其合營企業及聯營公司開發的物業的在管建築面積約為600萬平方米、660萬平方米及690萬平方米，佔截至各個日期在管總建築面積約55.3%、55.7%及54.0%；及由獨立第三方房地產開發商開發的物業的在管建築面積約為480萬平方米、520萬平方米及590萬平方米，佔公司截至各個日期在管的總建築面積約44.7%及44.3%及46.0%。
公司已與兩名基石投資者訂立兩份基石投資協議，據此，基石投資者已同意，待若干條件達成後，按發售價並以若干數目的投資金額，認購若干數目的發售股份。基石投資者已同意按發售價認購總額約2100萬港元可購買的有關數目的發售股份。假設發售價為1.33港元(即指示性發售價範圍的中位數)，根據基石配售認購的發售股份總數將為1555.4萬股發售股份。基石投資者包括禾元商貿(香港)有限公司(“禾元商貿”)及山鷹國際(600567.SH)董事長兼總裁吳明武。
公司估計，假設超額配股權未獲行使及假設每股發售股份的發售價為1.33港元(即建議發售價範圍的中位數)，發行新股股份的所得款項淨額總額將約為1.101億港元。公司現時有意將該等所得款項淨額55.0%用於策略性收購及投資；佔所得款項淨額30.0%擬用於投資及升級硬件及軟件，以在公司所管理的項目內發展社區；以及佔所得款項淨額15.0%擬用於豐富社區增值服務的服務組合、規模及效率。
