新創建集團(00659.HK)：周大福企業擬要約收購新創建全部已發行股份
格隆匯6月27日丨周大福企業、新世界發展(00017.HK)及新創建集團(00659.HK)聯合公吿，要約人(周大福企業的全資附屬公司)確定擬在預設條件獲達成或豁免(如適用)的前提下，提出有條件自願全面現金要約，以收購周大福控股集團尚未實益持有的新創建全部已發行股份。為免存疑，新創建要約股份包括新世界發展集團及其他要約人一致行動人士(周大福控股集團除外)已擁有的新創建股份。新創建股份要約項下的新創建股份要約價為每股新創建要約股份9.15港元，較新創建股份於最後交易日暫停買賣前在聯交所所報的收市價每股新創建股份7.99港元溢價14.5%。
假設新創建股份(不論以行使任何新創建購股權或其他方式)及新創建購股權的數目於新創建股份要約截止前將不會出現變動，將有約37.91億股新創建要約股份(佔新創建於公吿日期已發行股本的96.96%)及8463.87萬份新創建購股權，新創建股份要約的價值約為346.91億港元，而註銷所有新創建購股權所需總金額約為1.12億港元。在此基礎上，新創建要約的價值合共約為348.03億港元。
假設於新創建股份要約截止前，新創建購股權的數目將不會出現變動，且所有新創建購股權將被行使，新創建將鬚髮行8463.87萬股新新創建股份，佔新創建於公吿日期已發行股本的2.16%以及新創建經擴大已發行股本的2.12%。在此基礎上及假設新創建股份數目將不會出現其他變動，將設有約38.76億股新創建要約股份(包括因行使新創建購股權而發行的新新創建股份)(佔新創建經擴大股本的97.02%)，而新創建股份要約的價值將約為354.66億港元。在此情況下，要約人毋須根據新創建購股權要約支付任何款項。
倘要約人行使該等權利並完成強制收購，新創建將成為周大福控股的間接全資附屬公司，將根據上市規則第6.15條申請從聯交所撤回新創建股份的上市地位，並自新創建股份要約截止起直至新創建股份從聯交所撤銷上市地位期間暫停買賣新創建股份。新世界發展已向聯交所申請恢復新世界發展股份及新世界發展債券買賣，由2023年6月27日上午9時正起生效。新創建已向聯交所申請恢復新創建股份及新創建債券買賣，由2023年6月27日上午9時正起生效。
