景业名邦集团(02231.HK)拟悉售联营公司的股权 退出广州黄埔区南部旧改项目
格隆汇6月23日丨景业名邦集团(02231.HK)公布,于2023年6月21日,广州意浓(一家间接全资附属公司)与广州天瀚、深圳中洲及受让人广州科峻企业管理合伙企业(有限合伙)订立转让合约,据此(其中包括),根据转让合约的条款并待其条件获达成后,转让人(包括广州意浓、广州天瀚及深圳中洲)有条件同意向受让人转让标的股权,占目标公司广州珠景房地产49%股权,总代价约人民币1.66亿元,而目标公司欠转让人的股东贷款总额约人民币2.74亿元(须根据实际还款日期的未偿还金额调整)将予以偿还。
紧接转让人向受让人转让标的股权完成前,目标公司由广州意浓、广州天瀚、深圳中洲、下沙股份经济联合社、下沙第一股份经济合作社、下沙第二股份经济合作社及下沙第三股份经济合作社分别持有26.95%、14.70%、7.35%、12.75%、12.75%、12.75%及12.75%。目标公司为公司联营公司。下沙股份经济联合社、下沙第一股份经济合作社、下沙第二股份经济合作社及下沙第三股份经济合作社是由广州珠江村村民成立的集体经济组织。
转让人向受让人转让标的股权完成后,目标公司由受让人、下沙股份经济联合社、下沙第一股份经济合作社、下沙第二股份经济合作社及下沙第三股份经济合作社分别持有49%、12.75%、12.75%、12.75%及12.75%的权益。
据悉,目标公司主要从事项目的重新开发。目标公司拥有的土地位于中国广州市黄埔区南部,总开发土地面积约为25.05万平方米,规划总建设建筑面积约为73.72万平方米,其中复建区建设建筑面积约为52.83万平方米及融资区建设建筑面积约为20.89万平方米。复建区将用作商业、住宅及公建配套用房建设,主要用于重建安置村民财产和集体财产。融资区将用作住宅和商业办公及公建配套等用房建设,主要用于对外出售。
公吿称,在目前市况及现行政府政策下,转让人于近期重新开发土地或会面临挑战。交易为公司提供机会,以从项目中收回资本投资,并改善集团的流动资金,从而提供额外现金以满足其营运资金需求及集团未来的业务发展。
