景業名邦集團(02231.HK)擬悉售聯營公司的股權 退出廣州黃埔區南部舊改項目

格隆匯6月23日丨景業名邦集團(02231.HK)公佈,於2023年6月21日,廣州意濃(一家間接全資附屬公司)與廣州天瀚、深圳中洲及受讓人廣州科峻企業管理合夥企業(有限合)訂立轉讓合約,據此(其中包括),根據轉讓合約的條款並待其條件獲達成後,轉讓人(包括廣州意濃、廣州天瀚及深圳中洲)有條件同意向受讓人轉讓標的股權,佔目標公司廣州珠景房地產49%股權,總代價約人民幣1.66億元,而目標公司欠轉讓人的股東貸款總額約人民幣2.74億元(須根據實際還款日期的未償還金額調整)將予以償還。

緊接轉讓人向受讓人轉讓標的股權完成前,目標公司由廣州意濃、廣州天瀚、深圳中洲、下沙股份經濟聯合社、下沙第一股份經濟合作社、下沙第二股份經濟合作社及下沙第三股份經濟合作社分別持有26.95%、14.70%、7.35%、12.75%、12.75%、12.75%及12.75%。目標公司為公司聯營公司。下沙股份經濟聯合社、下沙第一股份經濟合作社、下沙第二股份經濟合作社及下沙第三股份經濟合作社是由廣州珠江村村民成立的集體經濟組織。

轉讓人向受讓人轉讓標的股權完成後,目標公司由受讓人、下沙股份經濟聯合社、下沙第一股份經濟合作社、下沙第二股份經濟合作社及下沙第三股份經濟合作社分別持有49%、12.75%、12.75%、12.75%及12.75%的權益。

據悉,目標公司主要從事項目的重新開發。目標公司擁有的土地位於中國廣州市黃埔區南部,總開發土地面積約為25.05萬平方米,規劃總建設建築面積約為73.72萬平方米,其中復建區建設建築面積約為52.83萬平方米及融資區建設建築面積約為20.89萬平方米。復建區將用作商業、住宅及公建配套用房建設,主要用於重建安置村民財產和集體財產。融資區將用作住宅和商業辦公及公建配套等用房建設,主要用於對外出售。

公吿稱,在目前市況及現行政府政策下,轉讓人於近期重新開發土地或會面臨挑戰。交易為公司提供機會,以從項目中收回資本投資,並改善集團的流動資金,從而提供額外現金以滿足其營運資金需求及集團未來的業務發展。
