贛鋒鋰業(002460.SZ)：擬以1.06億澳元認購澳大利亞Leo Lithium定增股份、其間接持有鋰輝石礦Goulamina項目50%股權
格隆匯5月29日丨贛鋒鋰業(002460.SZ)公佈，公司於2023年5月26日召開的第五屆董事會第六十一次會議審議通過了《關於公司或公司子公司認購澳大利亞Leo Lithium Limited公司定增股份涉及礦業權投資的議案》，同意公司或子公司以每股0.81澳元價格認購澳大利亞Leo Lithium Limited公司 (“Leo Lithium”)所增發不超過總股本9.9%股權，合計交易金額1.0611億澳元。授權公司經營層全權辦理本次交易的相關事宜。
公吿顯示，LeoLithium是一家成立於2022年在澳大利亞證券交易所及法蘭克福證券交易所上市的公司，澳大利亞證券交易所代碼為LLL，法蘭克福證券交易所WX0；主營業務為馬裏鋰礦資源勘探及開發。其旗下的主要資產為位於馬裏的鋰輝石Goulamina項目；截至公吿披露日，Leo Lithium的已發行股本為1,197,598,455股，FireFinch Limited為第一大的股東，持有Leo Lithium17.61%的股權。Leo Lithium間接持有Goulamina項目50%的股權。Goulamina擁有位於馬裏南部地區的鋰輝石礦項目，目前持有1個採礦許可證：
此次戰略配售所得資金用於Goulamina項目第一階段的開發和運營。雙方規劃將Goulamina二期產能提高至每年約50萬噸鋰輝石精礦，使一期和二期的總產能達到每年100萬噸鋰輝石精礦。基於二期產能的擴張，雙方同意：公司將擁有每年35萬噸鋰輝石精礦的包銷權，Leo Lithium將擁有每年15萬噸鋰輝石精礦的包銷權。
雙方研究三期擴建的可能性，如Goulamina第三階段擴建，LeoLithium和公司將分別擁有50%的增量產品的包銷權。
雙方積極探討在歐洲或其它地方建設合資鋰鹽生產基地可行性，在雙方合資鋰鹽生產基地建設完成之前，公司將擁有Leo Lithium 15萬噸鋰輝石精礦的代加工權利，合資建設鋰鹽生產基地及礦石代加工具體安排請以後續簽署的協議約定為準。
此次交易旨在強化與Leo Lithium公司在Goulamina鋰輝石礦項目的合作，進一步保障公司鋰資源的需求，有利於公司業務拓展，提高核心競爭力，符合公司上下游一體化和新能源汽車產業發展戰略。
