宏信建發(09930.HK)預計5月25日上市 引入中聯重科等多家基石
格隆匯5月12日丨宏信建發(09930.HK)發佈公吿，公司擬全球發售約3.65億股股份，其中中國香港發售股份3647萬股，國際發售股份約3.28億股，另有15%超額配股權；2023年5月12日至5月18日招股，預期定價日為5月18日；發售價將為每股發售股份4.52-4.80港元，每手買賣單位1000股，入場費約4848港元；華泰國際、花旗、招銀國際以及DBS為聯席保薦人；預期股份將於2023年5月25日於聯交所主板掛牌上市。
公司是中國領先設備運營服務提供商之一，具有綜合設備組合及強大的服務能力。根據弗若斯特沙利文報吿，以2022年收入計，公司是中國最大的設備運營服務提供商。憑藉公司的設備運營服務能力，公司提供覆蓋項目全週期的全方位、多功能服務。公司的主要品牌包括宏信建發、宏信設備及宏金設備。公司獲得的眾多獎項亦反映了公司領先的市場地位及品牌知名度。
公司已與基石投資者訂立獨立的基石投資協議，據此，基石投資者同意按發售價認購若干發售股份，惟受限於若干條件。假設發售價為每股發售股份4.66港元(即本招股章程所載發售價範圍的中位數)，基石投資者將認購的發售股份總數約為2.36億股，而基石投資者的認購總額將約為11.02億港元。
公司已就基石配售與香港東濱合勝發展有限公司(“香港東濱”)、中聯重科國際貿易(香港)有限公司(“中聯重科”)、浙江鼎力機械股份有限公司(“浙江鼎力”)、臨工重機國際有限公司(“臨工重機”)、Xinheng Holding Limited(“Xinheng”)、上海普陀科技投資有限公司(“普陀科投”)及上海新金環企業集團有限公司(“金環”)訂立基石投資協議。
假設發售價為每股股份4.66港元(即本招股章程所述指示性發售價範圍的中位數)，估計公司將收取的全球發售所得款項淨額將約為15.55億港元。為實行業務戰略，公司目前擬將該等所得款項淨額約4.0%用於戰略性擴大公司的服務網點網絡以提升公司的服務能力；約67.0%將用於優化設備組合；約11.0%將用於增強公司的一站式解決方案能力；約8.0%將用於通過數字化升級提升公司的經營效率；及約10.0%將用作公司的運營資金及一般公司用途。
