伯明翰體育(02309.HK)擬出售一間附屬公司的權益 5月9日起復牌
格隆匯5月9日丨伯明翰體育(02309.HK)發佈公吿，2023年5月7日，公司與買方訂立購股協議，據此，公司有條件同意出售(而買方有條件同意購買)(i)BCP已發行股本的約24%；(ii)BCP結欠公司的總額的約32%。 於該公吿日期，BCP結欠公司的總額約為1.011億英鎊(相當於約9.928億港元)。出售事項的代價合共約為530萬英鎊(相當於約5200萬港元)，其須於完成時以現金支付予公司。
同日，東霓及勝者環球與買方訂立東霓╱勝者環球購股協議，據此，東霓及勝者環球有條件同意出售(而買方有條件同意購買)(i)由東霓持有的BCP股本中的所有股份，即BCP已發行股本的約21.64%；(ii)BCSL股本中的所有股份；(iii)BCP結欠東霓的所有貸款；及(iv)BCSL分別結欠東霓及勝者環球的所有貸款。買賣東霓待售股份連同轉讓東霓的已轉讓貸款的代價將約為470萬英鎊(相當於約4620萬港元)。
BCP為一間於英格蘭及威爾斯註冊成立的公眾有限公司，其於該公吿日期由公司擁有約75%、東霓擁有約21.64%及公眾股東擁有約3.36%。BCFC為一間於英格蘭及威爾斯註冊成立的公眾有限公司。BCP擁有BCFC的全部已發行股本並主要從事BCFC的營運及管理。BCFC擁有BCWFC的全部已發行股本。BCWFC為一間於英格蘭及威爾斯註冊成立的私人有限公司。根據買方提供的資料，買方為一間於英格蘭及威爾斯註冊成立的控股公司。買方由Knighthead Capital Management, LLC(為一名在美國證券交易委員會註冊的投資顧問)管理及╱或給予建議的投資基金及賬户直接及間接擁有。
根據購股協議的條款，股東協議及財務文件亦須於完成日期訂立。東霓為一間由Vong Pech先生間接全資擁有的公司，而Vong Pech先生於購股協議日期為一名擁有約23.53%已發行股份權益的主要股東，併為公司的關連人士。購股協議規定，買方並無義務完成任何待售股份的購買，而公司亦無義務完成任何待售股份的出售，除非(a)所有待售股份的出售；與(b)根據東霓╱勝者環球購股協議進行的BCP股本中的所有股份(由東霓持有)以及BCSL股本中的所有股份(由東霓及勝者環球持有)的出售乃同時完成。
應公司要求，股份自2023年5月8日上午九時正起暫停在聯交所買賣，以待刊發該公吿。公司已向聯交所申請自2023年5月9日上午九時正起恢復股份在聯交所的買賣。
