利基控股(00240.HK):收購香港新界將軍澳相關農業用地、不遲於5月5日就該等地塊提交增加其地積比率及變更其用途的申請
格隆匯5月1日丨利基控股(00240.HK)與惠記集團(00610.HK)各自的董事會欣然宣佈,2023年4月28日,利基全資附屬公司龐景投資有限公司向賣方A(沈瓊、盧良蔚及梁國盛)、賣方B伍耀華已購買目標公司(天恩投資有限公司,Real Best Development Limited)全部已發行股本及彼等結欠的股東貸款,合共代價約3.69億港元(可予調整)。
目標集團共同擁有該等地塊,即位於香港新界將軍澳百勝角路的多幅土地,總佔地面積為245,628平方尺,當前指定作農業用途。
買方將不遲於2023年5月5日根據先導計劃就該等地塊提交增加其地積比率及變更其用途的申請。倘若獲批准並就地價協商,該等地塊可能會由買方重新發展,前提是根據先導計劃,該等地塊不少於70%的樓面面積將用於政府發展公屋/首次置業單位。
政府的先導計劃(由2020年5月6日至2023年5月5日接受申請)規定,就有效變更新界土地用途及增加土地地積比率(以及因此提升其發展潛力)而言,鑑於地價因將獲分配用於政府發展公屋或首次置業單位的部分先導計劃的基礎建設及地盤平整發展成本而有所減低,其地價可能更具吸引力。發展局轄下的土地共享辦事處將分三個階段處理每項申請:即3個月的初步審核階段、其後3個月的階段(以就該項申請釐定其建議的條款及╱或批出原則性支持),以及(倘若申請將獲批出)再加30至42個月期間(以完成必要的法定及╱或地政程序)。
買方將不遲於2023年5月5日根據先導計劃就該等地塊提交增加其地積比率及變更其用途的申請。該等地塊總佔地面積為245,628平方尺,位於香港新界將軍澳百勝角路。該等地塊指定作農業用途,當前為閒置狀態。該等地塊坐落於康城港鐵站與坑口港鐵站之間,公共交通便利,將建有公路通往百勝角路。倘若該等地塊的先導計劃申請獲批,利基屆時將因應物業發展市場及利基集團當時可獲提供的資源,考慮如何以最佳方式對該等地塊進行發展。
可能出售事項倘若實現,將導致目標集團不再併入利基集團及惠記集團各自的財務業績。倘若出售事項繼續進行,利基集團及惠記集團的最大預期損失將包括首筆付款約3700萬港元及相關專業費用及印花税約4000萬港元。利基集團或惠記集團將不會就可能出售事項獲得任何出售所得款項。
