竣球控股(01481.HK)：TeraMetal Holdings擬收購公司73.53%股權 總代價1.96億港元
格隆匯4月27日丨竣球控股(01481.HK)發佈公吿，公司獲賣方(精智有限公司，由林德凌及陳義揚全資實益擁有；Fortune Corner Holdings Limited，由謝婉珊全資實益擁有)吿知，2023年4月26日，要約人(TeraMetal Holdings Limited，由吳浩麟最終實益全資擁有)與賣方訂立買賣協議，據此賣方同意出售合共7.5億股銷售股份，佔公司於本聯合公吿日期已發行股本約73.53%，總代價為1.96億港元(相當於每股銷售股份0.2614港元)。
於本聯合公吿日期，要約人或其任何一致行動人士概無擁有(或控制或指示)公司任何股份或任何其他可換股證券、購股權、認股權證或衍生工具。緊隨完成後，要約人及其一致行動人士將擁有7.5億股股份(佔公司已發行股本總額約73.53%)。根據收購守則規則26.1，完成後，要約人須就所有已發行股份(要約人及其一致行動人士已擁有及╱或同意將予收購者除外)提出強制性無條件現金要約。
待完成後，卓亞融資將代表要約人在遵守收購守則的情況下，按要約價每股要約股份0.2614港元基準提出要約。於本聯合公吿日期，已發行10.2億股股份。按要約價每股要約股份0.2614港元計算，公司全部已發行股本的價值將為2.666億港元。股份要約價每股要約股份0.2614港元較4月26日(即最後交易日)在聯交所所報每股收市價0.3150港元折讓約17.02%。
要約人將繼續支持公司獨立經營，維持公司在香港資本市場的上市地位。要約人擬將公司繼續專注於其現有業務的發展。要約人無意在要約結束後對集團的現有營運及業務作出任何重大改變。要約人無意終止僱用集團任何僱員或對任何僱用作出重大變動(惟建議變動董事會成員的時間不早於上市規則及收購守則所准許的時間)或因要約完成而出售或重新分配與集團日常業務相關的集團固定資產。然而，要約人保留權利對集團業務和運營做出其認為必要或適當的改變，以優化集團的價值。
