傲農生物(603363.SH)澄清稱：公司資金狀況正常，控股股東、實控人的股票質押不存在平倉情況，整體質押風險可控
格隆匯4月25日丨傲農生物(603363.SH)公佈，公司關注到近期股吧、雪球等股票社區中出現關於公司資金鍊出問題、大股東股票質押風險的傳聞，引發投資者關注，近日多位投資者來電諮詢相關情況。澄清聲明如下：
1、目前，公司經營情況正常，資金狀況正常，定增工作目前進展順利。
2、關於大股東股票質押情況，經公司書面徵詢控股股東、實際控制人，控股股東、實際控制人回函明確表示：
(1)截至目前，廈門傲農投資有限公司(“傲農投資”)、吳有林及吳有林實際控制的廈門裕澤投資合夥企業(有限合夥)(“廈門裕澤”，廈門裕澤由吳有林及其配偶共同持股設立)的股票質押不存在平倉情況，整體質押風險可控。
(2)傲農投資、吳有林、廈門裕澤目前合計質押股票321,954,306股(含近日在辦理的用於置換融資等質押)，佔傲農投資及一致行動人(吳有林、廈門裕澤、吳有材、傅心鋒、張明浪、郭慶輝)合計持股比例69.06%。
(3)吳有林及其控制的廈門裕澤目前合計質押股票96,268,200股，佔兩方合計持有股份總數的比例為68.67%。
(4)目前傲農投資、吳有林、廈門裕澤場內質押股票僅為21,453,200股，對應融資餘額為9746.67萬元，平倉線價格較低；其餘均為場外質押，且其中有部分質押屬於其開展貿易業務向其供應商提供的融資增信措施不設平倉線。
(5)即便出現個別股票質押觸及預警線、平倉線的情形，由於大部分股票質押均為場外質押(債權人並不會立即處置股票)，傲農投資、吳有林、廈門裕澤可通過與債權人協商延期、償還資金、補充質押等方式規避股票質押的違約處置風險，截至目前傲農投資、吳有林、廈門裕澤尚未質押的股票仍有140,661,565股，佔傲農投資及一致行動人(吳有林、廈門裕澤、吳有材、傅心鋒、張明浪、郭慶輝)合計持股比例為30.17%。
(6)傲農投資、吳有林、廈門裕澤會積極關注股票質押風險情況，並與債權人保持良好溝通。
