大中礦業(001203.SZ)：競買取得郴州城泰的控制權並進而控制臨武縣雞腳山礦區含鋰多金屬礦產資源
格隆匯4月11日丨大中礦業(001203.SZ)公佈，公司為在湖南臨武落地鋰礦新能源產業，通過湖南大中赫鋰礦有限責任公司(“大中赫公司”)於2023年4月10日參加拍賣，以自有資金1700萬元(不含相關税費)取得廣州粵泰控股集團有限公司(“廣州粵泰”)和廣州新意實業發展有限公司(“廣州新意”)持有的郴州市城泰礦業投資有限責任公司(“郴州城泰”)80%的股權、以及廣州粵泰對郴州城泰的應收款58,113,824.81元。
標的公司主要資產為其名下擁有的一宗探礦權，勘查項目名稱：湖南省臨武縣雞腳山礦區鎢錫多金屬礦詳查，勘查許可證號：T43120080302003596，勘查面積13.57km2。有效期限至2015年7月5日。
該探礦權系湖南省湘南地質勘察院於2012年轉讓給郴州城泰，轉讓價格1395萬元。同時，郴州城泰支付地質技術成果轉讓費1705萬元，並繳2年的探礦權使用費13,570元。2015年5、6月間，因存在糾紛，該探礦權到期後未得到及時延續。經盡調，該探礦權延續不存在法律障礙。
臨武縣雞腳山礦區為臨武縣三大含鋰花崗巖雲母礦出露地表區域之一。根據公司的初步地質調查，該礦權勘查面積較大，氧化鋰邊界品位超過0.2%的鋰礦資源量豐富，選礦回收率高，是發展鋰礦新能源的理想收購標的。最終地質成果還需進一步地質勘查。
標的公司目前沒有經營業務。
公司於2022年11月4日與臨武縣人民政府簽訂關於“含鋰多金屬礦資源採選、碳酸鋰加工以及鋰電池生產項目”的《投資合作協議書》。2023年3月8日，公司臨武縣鋰礦採選、碳酸鋰加工等項目入選湖南重點建設項目名單。公司參與此次拍賣，成功取得郴州城泰的控制權並進而控制臨武縣雞腳山礦區含鋰多金屬礦產資源，將為公司臨武鋰電採選、碳酸鋰加工項目提供堅實的資源保障，此次拍賣的成功符合公司的整體戰略方向。公司將立即展開臨武縣雞腳山礦區的礦權延續、地質勘查、探轉採等相關工作，同步推進大中赫公司在臨武縣進行的採選冶項目前期手續辦理及建設工作。
