大成糖業(03889.HK)：孔展鵬及王鐵光擬收購47%的股份並認購1.2億元可換股債、擬強制性無條件全面要約
格隆匯4月10日丨聯合要約人孔展鵬及王鐵光、大成生化科技(00809.HK)、大成糖業(03889.HK)聯合公吿，2023年4月6日，(其中包括)大成玉米(作為賣方)與聯合要約人(作為買方)訂立大成糖業買賣協議，據此聯合要約人有條件同意收購而大成玉米有條件同意出售大成糖業出售股份(即717,965,000股大成糖業股份，佔於大成糖業買賣協議日期大成糖業全部已發行股本約47.00%)，總代價為4307.79萬港元，相當於每股大成糖業出售股份0.06港元。
2023年4月6日，(i)帝豪賣方A及帝豪賣方B(作為賣方)及帝豪買方(作為買方)訂立帝豪買賣協議I，據此(其中包括)，帝豪賣方A及帝豪賣方B有條件同意出售而帝豪買方有條件同意以人民幣1.0元的代價購買帝豪食品的全部股權；及(ii)帝豪賣方A及帝豪賣方C(作為賣方)及帝豪買方(作為買方)訂立帝豪買賣協議II，據此(其中包括)，帝豪賣方A及帝豪賣方C有條件同意出售而帝豪買方有條件同意以人民幣1.0元的代價購買帝豪結晶糖的全部股權。
於帝豪完成後，帝豪食品將不再為大成糖業的附屬公司，並將成為大成生化集團一部分。根據帝豪買賣協議的條款，大成生化須於帝豪完成後向大成糖業籤立並交付大成生化反擔保契據，以使大成生化將(其中包括)就大成糖業於帝豪食品擔保項下可能招致及承受的義務及責任向大成糖業提供反擔保及彌償保證。
於大成糖業完成後，大成糖業將不再為大成生化的附屬公司。帝豪食品亦將於帝豪完成後不再為大成糖業的附屬公司，而成為大成生化集團的一部分。根據帝豪買賣協議的條款，大成糖業須於帝豪完成時籤立及向大成生化及帝豪食品交付大成糖業反擔保契據，使大成糖業將(其中包括)就大成生化及帝豪食品根據錦州元成擔保可能招致及承受的義務及責任向大成生化及帝豪食品提供反擔保及彌償保證。
2023年4月6日，大成糖業與聯合要約人(作為認購人)訂立可換股債券認購協議，據此，大成糖業已有條件同意發行而聯合要約人已有條件同意認購可換股債券，按初步轉換價每股轉換股份0.1港元，本金總額為人民幣1.2億元(相當於約1.38億港元)。
於聯合公吿日期及大成糖業完成前，除(i)要約人B持有的43,264,000股大成糖業股份(佔大成糖業全部已發行股本約2.83%）；及(ii)Rich Mark Profits Limited(由要約人B全資擁有的公司)持有的16,444,000股大成糖業股份(佔大成糖業全部已發行股本約1.08%)外，聯合要約人及其一致行動人士並無擁有、控制或可指示大成糖業的任何股份或其他相關證券。於大成糖業完成後，聯合要約人及其一致行動人士將於合共777,673,000股大成糖業股份(佔大成糖業全部已發行股本約50.91%)中擁有權益。
根據收購守則規則26.1，於大成糖業完成後，聯合要約人及其一致行動人士將須以現金就所有已發行的大成糖業股份(不包括聯合要約人及其一致行動人士已擁有或同意收購的股份)作出強制性無條件全面要約，每股要約股份0.06港元現金。
