大唐環境(01272.HK)：就古德洛爾項目達成和解計劃並簽署會議記錄
格隆匯3月31日丨大唐環境(01272.HK)公佈，古德洛爾項目由科技工程公司與科技工程公司的全資附屬公司大唐科技工程印度有限公司("科技工程印度公司")共同承攬，該項目於2013年5月中標，合約金額約為人民幣632百萬元(包括60.8百萬美元及22.6億印度盧比)。古德洛爾項目的業主為IL&FS泰米爾納德邦電力有限公司("泰米爾納德邦公司")。
泰米爾納德邦公司為Infrastructure Leasing & Financial Services Limited及其其他集團公司(" IL&FS集團")的一部分，監於IL&FS集團擁有的債務連同其他集團公司擁有的債務，泰米爾納德邦公司須進行重組。僅在獲得孟買國家公司法法庭("國家公司法法庭")的批准並根據國家公司法上訴法庭("國家公司法上訴法庭")批准的相關決議框架方可進行付款。
國家公司法上訴法庭委任的核數師表示，應付科技工程公司與科技工程印度公司的款項為2,216,500,000印度盧比(於公吿日期相當於約人民幣185,029,652元)("合約金額")。
根據國家公司法上訴法庭日期為2022年7月4日的命令，泰米爾納德邦公司須按要求於2023年3月31日與其債權人(包括科技工程公司與科技工程印度公司)協定補充重組計劃("和解計劃")。泰米爾納德邦公司、科技工程公司與科技工程印度公司於2023年3月31日同意並簽署一份會議記錄。
根據會議記錄，泰米爾納德邦公司應於五年內向科技工程公司及科技工程印度公司支付735,000,000印度盧比的款項，即合約金額的33.16%。該還款額應為全部及最終款項。泰米爾納德邦公司並無責任支付任何其他利息或費用。會議記錄應取代泰米爾納德邦公司、科技工程公司與科技工程印度公司的所有現行協議或合約。倘泰米爾納德邦公司對任何其他類似債權人的還款比例高於還款比例，泰米爾納德邦公司應促使修訂和解計劃與會議記錄，以便於經修訂的和解計劃中應用較高還款比例，惟須待國家公司法法庭批准各方同意，會議記錄所示的和解條款應在泰米爾納德邦公司董事會及科技工程公司董事會(代表科技工程公司與科技工程印度公司)簽署會議記錄後30日內以和解協議的方式予以記錄，並在收到國家公司法法庭批准和解計劃後90日內支付首期款項。此外，泰米爾納德邦公司同意並承諾在簽署會議記錄及收到科技工程公司董事會同意和解計劃項下的建議和解條款之日起15天內免除科技工程公司提供的履約保函。
