榮盛石化(002493.SZ)：與沙特阿美石油集團簽訂原油採購協議等一攬子協議、獲取每日48萬桶的長期穩定的原油供應等等
格隆匯3月27日丨榮盛石化(002493.SZ)公佈，2023年3月27日，公司及下屬控股公司浙江石油化工有限公司、榮盛石化(新加坡)私人有限公司與Saudi Arabian Oil Company (“沙特阿美”)及其關聯方Aramco Overseas Company B.V. (“AOC”)和Aramco Trading Singapore Pte. Ltd. (“ATS”，上述三方以下統稱“沙特阿美石油集團”)於北京簽署了《戰略合作協議》及其項下的《原油採購協議》《救濟契據》《母公司擔保》《ATS框架協議》《原料供應框架合同》《化學品框架協議》《精煉和化工產品框架協議》《原油儲存框架協議》《技術分享框架協議》等協議(以下簡稱“《原油採購協議》等一攬子協議”)，雙方就原油採購、原料供應、化學品銷售、精煉化工產品銷售、原油儲存及技術分享等方面進行合作。
公司與沙特阿美石油集團在《關於引入境外戰略投資者暨簽訂<戰略合作協議>及其項下原油採購等一攬子協議暨關聯交易的議案》項下協議簽署完成後，沙特阿美全資子公司AOC將在未來十二個月內根據相關協議安排持有公司5%以上股份，根據《深圳證券交易所股票上市規則》之6.3.3款規則，沙特阿美石油集團構成公司關聯方。此次交易構成公司的關聯交易。
公司與沙特阿美石油集團簽訂《原油採購協議》等一攬子協議，雙方將就原油供應、精細化工品購銷、原油儲存及技術研發等進行合作。
在國際地緣局勢不斷變化的環境下，能源安全對國家經濟運行、人民生活和企業正常運營至關重要。榮盛石化運營全球最大的單體煉廠浙石化4000萬噸煉化一體化項目，是中國以及亞洲重要的聚酯、新能源材料、工程塑料和高附加值聚烯烴的生產商，是全球最大的PTA、PX等化工品生產商，聚乙烯、聚丙烯、PET、EVA、ABS等多個產品上的產能位居全球前列。榮盛石化的主要原材料是原油，需要穩定的供給，為滿足產品生產需求，公司每年需要向包括沙特阿美在內的國際原油供應商進口大量的原油等原材料，但相關採購合同以較短期限為主，到期後需要續簽新的採購合同。
沙特阿美是一個有多年曆史的綜合國際石油集團，是世界最大的一體化能源和化工公司之一，在原油開採、生產、應用方面具備豐富經驗和技術優勢，同時擁有雄厚的資源稟賦、產能優勢和資金實力，是公司近年來採購原油最重要的供應商。通過簽訂上述協議，公司及子公司將進一步鞏固與沙特阿美現有原油採購業務的合作關係，獲取每日48萬桶的長期穩定的原油供應，以及其他化工原材料的供應，並有望進一步拓展化工產品的海外銷售渠道，保障石油化工品產業鏈的穩定性。同時，沙特阿美也將鎖定來自公司及子公司的大量原油採購需求，並進一步拓展在中國化工品領域的佈局。此外，雙方通過簽署戰略合作協議以及協議項下的一系列技術合作協議，有望進一步加強雙方日常的溝通交流、技術研發及業務合作，推動雙方各自戰略目標的實現和長期的可持續發展，因此本次關聯交易具有必要性。
