廈門國貿子公司成為祥光銅業等19家公司重整投資人
廈門國貿(600755.SH)3月1日晚間公吿稱，其子公司廈門國貿有色礦產有限公司收到陽穀祥光銅業有限公司等19家公司管理人發來的《中標通知書》，國貿有色在祥光銅業等19家公司實質合併重整案重整投資人評選中勝出，成為祥光銅業等19家公司重整投資人。
值得注意的是，公司股價自2月28日-3月1日連續兩日大升，升幅超5.4%。截至3月1日收盤，公司股價連續9日收升，累計升幅12.47%，市場信心大幅提振。
國貿有色參與公開招募和遴選重整投資人情況
2022年7月，陽穀縣人民法院裁定受理祥光銅業等19家公司實質合併重整一案，並於同日指定北京市君合律師事務所擔任祥光銅業等19家公司管理人，負責祥光銅業等19家公司的實質合併重整工作。2022年9月10日，祥光銅業等19家公司管理人發佈《陽穀祥光銅業有限公司等十九家公司管理人關於公開招募和遴選重整投資人的公吿》。
廈門國貿公司於2023年2月22日召開第十屆董事會2023年度第四次會議，審議通過《關於參與祥光銅業等19家公司合併重整競價遴選的議案》，同意經理層在董事會授權範圍內參與祥光銅業等19家公司實質合併重整案重整投資人的競價遴選，按照競爭性和謹慎性原則進行報價及處理相關事宜。國貿有色為公司參與本次重整投資人競價遴選的指定主體。
2023年3月1日，國貿有色收到祥光銅業等19家公司管理人發來的《中標通知書》，確認國貿有色成為祥光銅業等19家公司重整投資人。
祥光銅業及其他公司基本情況
據悉，陽穀祥光銅業有限公司成立於2005年1月6日，註冊資本為47.30億元，擁有年產45萬噸銅、190萬噸硫酸生產裝置。
祥光銅業等19家公司中，除祥光銅業外，其他公司分別為山東祥光集團有限公司、山東省祥瑞金屬科技有限公司、山東祥光集團青島有色金屬有限公司、青島祥光物流有限公司、上海祥光金屬貿易有限公司、上海尊祥科技有限公司、上海聿晟國際貿易有限公司、上海畋順國際貿易有限公司、上海礽煊國際貿易有限公司、上海禛祥國際貿易有限公司、上海祥光進出口貿易有限責任公司、新鳳祥控股集團有限責任公司、山東鳳祥(集團)有限責任公司、山東鳳祥投資有限公司、聊城盛富企業管理有限公司、陽穀祥光熱電有限公司、新鳳祥能源發展有限公司、陽穀縣祥琦生物質發電有限公司。以上18家公司主要為持股平台以及為祥光銅業提供物流、貿易、混礦、銅材加工、發電等上下游配套業務的公司。

廈門國貿公司為銅精礦進口的頭部企業，本次國貿有色成為祥光銅業等19家公司的重整投資人，擬收購資產為祥光銅業等19家公司中的銅冶煉生產核心資產，在完成對祥光銅業等19家公司重整投資後，將有助於穩定並擴大銅精礦業務規模，形成更為完善的產業鏈條，提升公司運營管理和盈利能力。
廈門國貿在提示風險時表示，該事項目前尚未與管理人簽訂重整投資協議，具體協議仍需進一步確定，並需按照相關法律、法規及公司章程的規定履行必要的審批程序；國貿有色與祥光銅業等19家公司債權人能否就重整方案達成一致並經法院裁定等法律程序尚具有不確定性。
