七彩化學(300758.SZ)：擬與美聯新材對美彩新材追加資本金並引入星空鈉電
格隆匯3月3日丨七彩化學(300758.SZ)公佈，公司擬與廣東美聯新材料股份有限公司(“美聯新材”)向公司參股公司遼寧美彩新材料有限公司(“美彩新材”或“標的公司”)追加資本金7.5億元(全部計入資本公積)，由公司和美聯新材按其持股比例實繳出資。其中，七彩化學按原持股比例49%以貨幣方式向美彩新材追加投資人民幣3.675億元；美聯新材按原持股比例51%以貨幣方式向美彩新材追加投資人民幣3.825億元。
此次追加投資後，公司和美聯新材對美彩新材的總投資額為12.5億元，其中5億元計入實收資本，7.5億元計入資本公積；公司對美彩新材的總投資額為6.125億元，對應美彩新材註冊資本2.45億元，佔標的公司註冊資本的49%；美聯新材對美彩新材的總投資額為6.375億元，對應美彩新材註冊資本2.55億元，佔標的公司註冊資本的51%；美彩新材每股出資額的認繳價格由1元/股變更為2.5元/股。前述雙方的貨幣資金將使用自有或自籌資金。
此次關聯交易完成後，美彩新材仍為公司參股子公司。
公司擬將其持有美彩新材10%股權即5000萬元出資額轉讓給遼寧星空鈉電電池有限公司(“星空鈉電”)。截至公吿日，公司共計認繳美彩新材2.45億元出資額，對應投資總額為6.125億元。公司至今尚未履行實繳出資義務，經雙方協商，此次股權轉讓價格為人民幣0元，由星空鈉電向美彩新材履行出資義務。
美聯新材擬對上述事項放棄此次股份優先購買權。
此次公司與美聯新材共同向美彩新材追加投資系公司基於對普魯士藍鈉離子電池產業未來發展前景的判斷，可以進一步實施新能源產業戰略佈局。同時，公司與關聯方美聯新材合作，雙方優勢互補，能有效整合雙方稀缺資源及技術管理等優勢，有利於推動雙方全面戰略合作並致力於鈉離子電池正極材料普魯士藍(白)系列產品的研究開發及產業化，從而助推普魯士藍鈉離子電池產業化發展。
公司此次將持有標的公司部分股權轉讓至星空鈉電，有利於優化公司資源配置和促進美彩新材引入更多的優質投資者，並通過外部優質投資者的行業優勢獲取相關業務、技術資源，持續為美彩新材在鈉離子電池正極材料普魯士藍領域賦能，促進其業務做大做強。
