天山鋁業(002532.SZ)：擬購買ITM公司100%股份、以取得三家礦業子公司的控制權
格隆匯2月23日丨天山鋁業(002532.SZ)公佈，公司擬通過註冊於新加坡的全資孫公司MIGHTY SKY INTERNATIONAL PTE. LTD. (“SgCo1”)、TRILLION SKY INTERNATIONAL PTE. LTD. (“SgCo2”)以自有資金購買LATIP NG (“LN先生”)、IRRYANTO (“IR先生”)合計持有的PT Inti Tambang Makmur (“ITM公司”)100%股份，從而間接取得 PT Persada Pratama Cemerlang (“PPC公司”)、PT Persada Buana Gemilang (“PBG公司”)及PT Paloan Maju Abadi (“PMA公司”，與PPC公司、PBG公司合稱“礦業子公司”)三家礦業子公司的全部已發行B類股份，並取得該等礦業子公司的控制權，該等礦業子公司在印度尼西亞各擁有一個鋁土礦的採礦權。
PPC公司、PBG公司及PMA公司所持有的上述採礦許可證所對應的礦產均為鋁土礦，無其他伴生礦。三家礦業子公司所持礦區總佔地面積合計約3萬公頃，總勘探面積達25.90萬公頃。根據PPC公司向印度尼西亞礦業管理部門提交的2021年RKAB(開採計劃)，該礦區鋁土礦資源儲量預計約6800多萬噸。PBG公司和PMA公司所持礦區毗鄰PPC公司所持礦區，尚未勘探，未有初步資源儲量相關數據。待相關協議簽署後，公司將聘任專業勘探機構對三個礦區進行詳細勘探。
印度尼西亞是全球鋁土礦資源儲量較為豐富的國家，公司在印度尼西亞佈局鋁土礦資源，符合公司主營業務的發展方向，公司可籍此獲取鋁土礦資源保障，進一步夯實原材料供應端，有利於延伸公司鋁上下游一體化產業鏈，提升公司核心競爭力，推動公司快速穩定發展。
