新天然氣(603393.SH)：擬私有化亞美能源並從香港聯交所退市
格隆匯2月17日丨新天然氣(603393.SH)公佈，公司通過全資孫公司香港利明作為本次交易的要約人，提請亞美能源董事會在滿足先決條件的前提下向計劃股東提出私有化亞美能源的建議，其中涉及根據開曼羣島公司法第86條以協議安排方式私有化亞美能源，計劃股東將獲得香港利明支付的現金1.85港元/股作為私有化對價。協議安排完成後，亞美能源將成為香港利明的全資子公司，並從香港聯交所退市。
截至報吿書出具之日，亞美能源已發行3,395,316,832股股份，香港利明持有亞美能源1,933,704,886股股份，佔亞美能源已發行股份的56.95%，將不作為計劃股份的一部分。
此次交易標的為亞美能源除香港利明以外的全部股東所持亞美能源43.05%的已發行股份，合計為1,461,611,946股已發行股份。
此次交易價格為香港利明向計劃股東以現金方式按照1.85港元/股支付現金付款，此次交易總價約為27.04億港元。
基於公司“立足新疆、面向全國、走國際化發展道路”的發展戰略規劃和“能源全產業鏈化、高科技化、國際化、金融化”的發展理念，通過此次私有化收購亞美能源少數股權有利於進一步推進上市公司高質量發展目標。
此次交易前，公司持有標的公司亞美能源56.95%股權，亞美能源繫上市公司控股下屬公司。經過2018年上市公司要約收購完成後，對亞美能源一系列精細化管理、成本控制、產能擴張、效益提升等工作實施，使得亞美能源在資產質量、收入及利潤規模均大幅提升。截至2022年9月30日，亞美能源在資產、收入及利潤規模上已經占上市公司的主要部分。
通過此次私有化交易完成後，亞美能源將成為公司100%全資下屬公司，將最大限度提升公司歸屬於母公司的淨資產和淨利潤規模，進一步提升對亞美能源的控制力，從而充分保障公司全體股東的合法權益，有效提升公司全體股東的合法收益。
