萬勝智能(300882.SZ)：萬勝物聯擬實施增資並引入寧波同昕及寧波萬水為股東
格隆匯2月13日丨萬勝智能(300882.SZ)公佈，為充分調動全資子公司杭州萬勝物聯技術有限公司(“萬勝物聯”)經營管理團隊、核心骨幹員工的積極性，促進員工與企業共同成長，公司擬對萬勝物聯實施增資並引入寧波同昕企業管理合夥企業(有限合夥)(“寧波同昕”)和寧波萬水企業管理合夥企業(有限合夥)(“寧波萬水”)作為萬勝物聯股東，上述交易對手方的合夥人包含公司和萬勝物聯的經營管理層及核心骨幹人員。
此次增資前，萬勝物聯註冊資本為600萬元，公司持有其100%股權。此次萬勝物聯擬新增註冊資本2400萬元，其中公司以自有資金認繳註冊資本390萬元，寧波同昕、寧波萬水分別以自有資金認繳註冊資本300萬元、1710萬元。交易完成後，公司持有萬勝物聯的股權比例由100%降至33%，萬勝物聯不再納入公司合併報表範圍。
萬勝物聯主要從事斷路器、量測開關等產品的生產、經營和銷售，自2021年10月15日成立至今，尚處於業務開展前期，目前收入尚不足以覆蓋企業經營的早期支出，截至2022年9月30日，已累計虧損人民幣400.83萬元。萬勝物聯斷路器、量測開關等產品業務尚在佈局起步階段，其產品不屬於公司主營業務產品，預計發展週期較長，短期內企業經營發展存在一定不確定性，預計未來的資源投入、資金需求較大，短期內該公司的現金流和盈利能力相對較差。為更加專注主業、降低子公司的短期影響、減少公司生產經營的不確定性，公司決定放棄部分註冊資本的優先認繳權。同時為助力萬勝物聯的持續經營，尊重部分萬勝物聯管理層和主要經營團隊對初創企業的投資意願，吸引和留住萬勝物聯核心管理、技術以及業務人才，充分調動其積極性和創造性，有效提升核心團隊凝聚力和企業核心競爭力，公司同意以萬勝物聯經營團隊和員工為主的其他方增資萬勝物聯，同時上市公司部分董事及高級管理人員少量參與投資，以加強對萬勝物聯的監管，提升公司對外投資的安全性。
