英聯股份(002846.SZ)：就投建新能源汽車動力鋰電池複合銅箔、複合鋁箔項目 與江蘇省高郵經濟開發區管委會簽署投資協議
格隆匯2月5日丨英聯股份(002846.SZ)公佈，公司於2022年12月28日召開第四屆董事會第四次會議、第四屆監事會第四次會議，並於2023年1月16日召開了2023年第一次臨時股東大會，審議通過了《關於對外投資建設新能源汽車動力鋰電池複合銅箔、鋁箔項目的議案》及《關於與關聯方共同在江蘇高郵市設立子公司暨變更四川子公司設立事宜的議案》：公司計劃在江蘇省高郵經濟開發區設立控股子公司(“項目公司”)作為項目實施主體投資建設新能源汽車動力鋰電池複合銅箔、複合鋁箔項目，項目總投資30.89億元人民幣，建設100條新能源汽車動力鋰電池複合銅箔生產線和10條複合鋁箔生產線，項目分為2期建設，並授權公司董事會及其授權人員簽署相關投資合同及辦理相關手續。
根據上述決議，公司已於2023年2月1日設立控股子公司江蘇英聯複合集流體有限公司(“江蘇英聯”或“項目公司”)。
公司於2023年2月5日與江蘇省高郵經濟開發區管理委員會(“管委會”或“甲方”)就前述投資事項簽署了《投資協議》。
項目公司註冊資本5億元，在登記設立後根據項目需要分期到賬。計劃總投資30億元以上，建設100條新能源汽車動力鋰電池複合銅箔生產線和10條複合鋁箔生產線，項目分兩期實施。項目全部達產後，擬實現年開票銷售36億元(含税)，年納税3億元以上。
合作協議的簽訂進一步明確了雙方的權利和義務，有助於公司順利啟動新能源汽車動力鋰電池複合銅箔、複合鋁箔項目建設。
此次對外投資建設新能源汽車動力鋰電池複合銅箔、複合鋁箔項目，繫結合公司實際的情況，經審慎考察評估開展的業務，符合國家新能源產業發展規劃的發展方向，能夠滿足市場新能源汽車產業需求，能夠充分發揮公司的成熟的技術管理和豐富經驗優勢，開拓公司第二業績增長曲線，拓展利潤增長點，提升公司的競爭實力。同時，項目與落地於江蘇省高郵經濟開發區，獲得當地政府有力的政策和環境支持，依託該地區較完善的工業基礎設施及政府支持，發揮其儲能電池相關產業集羣效應，平等互惠，進一步完善公司業務佈局。
