北大資源(00618.HK)訂立多份債務抵償協議
格隆匯1月9日丨北大資源(00618.HK)公吿，於2023年1月9日，(1)武漢錦祥(為公司間接全資附屬公司，作為買方)與重慶飛迪亞(作為賣方)訂立債務抵償協議A，據此，重慶飛迪亞有條件同意以代價約人民幣9.29億元(可予調整)向武漢錦祥轉讓重慶雅源恆輝49%股權；(2)重慶盈豐(為公司間接全資附屬公司，作為買方)與重慶朗賽(作為賣方)訂立債務抵償協議B，據此，重慶朗賽有條件同意以代價約人民幣9.33億元(可予調整)向重慶盈豐轉讓重慶盈合益遠49%股權；(3)武漢天合錦程(為公司間接擁有70%權益的附屬公司，作為買方)與重慶美諾思(作為賣方)訂立債務抵償協議C，據此，重慶美諾思有條件同意以代價約人民幣2.91億元(可予調整)向武漢天合錦程轉讓浙江資源約20.59%股權；及(4)重慶悦豐(為公司間接擁有70%權益的附屬公司，作為買方)與重慶美諾思(作為賣方)訂立債務抵償協議D，據此，重慶美諾思有條件同意以代價約人民幣1.55億元(可予調整)向重慶悦豐轉讓浙江資源約10.94%股權。
於完成後，公司於(1)重慶雅源恆輝的股權將由51%增加至100%；(2)重慶盈合益遠的股權將由51%增加至100%；及(3)浙江資源的股權將由約68.47%增加至100%(其中31.53%將透過公司擁有70%權益的附屬公司持有)，而目標公司的財務資料將繼續綜合入賬至集團的財務報表。
重慶雅源恆輝主要從事投資控股及其主要資產為應收集團若干附屬公司的款項。重慶盈合益遠主要從事投資控股及其主要資產為應收集團若干附屬公司的款項。
浙江資源主要於中國從事物業發展業務及其主要資產為物業存貨及應收集團若干附屬公司及北京港通資源的款項。杭州緣恩商業管理有限公司(浙江資源的全資附屬公司)於2021年11月24日成立，主要從事物業租賃及管理。
公司認為，消除與北京港通資源欠付債務有關的不確定性對集團有利。北京港通資源為香港琥諮的全資附屬公司，且作為一家控股管理公司，除了應收款項及投資持有琥諮集團旗下其他公司股權外，並無重大資產。因此，應收北京港通資源的債務能否收回存在着不確定性。由於債務抵償，集團將合併目標公司股權。如上所述，除浙江資源持有的物業庫存外，目標公司的主要資產為應收集團若干附屬公司的款項。透過收購目標公司的剩餘股權，集團可合併目標公司股權，提升集團資產質素，以及削減集團非控制性權益數額。
