中潤資源(000506.SZ)：擬以淄博置業100%股權等資產與新金國際51%股權進行置換
格隆匯1月9日丨中潤資源(000506.SZ)公佈，公司目前主營業務為礦業投資與房地產開發建設、自有房產的出租。近年來，中央堅持“房住不炒”的基調不變，房地產市場投資速度明顯放緩，長遠看，房地產市場高速增長階段已經結束，消費屬性和民生屬性將進一步加強。公司主營房地產業務的子公司淄博置業運營的房產項目主要位於山東省淄博市，受國家政策、地域及資金影響，已大幅縮減房產項目的開發建設與投入。同時，公司通過多年礦產資產的運營，積累了一定的礦山開發經驗和人才團隊。公司擬全力聚焦礦產類的主營業務，在礦業產業鏈上、下游發展，培育新的業務增長點。
基於公司以上業務發展規劃及盤活資產的考慮，公司擬與馬維鈦業簽署附生效條件的《框架協議》，公司將其持有的淄博置業100%股權、濟南興瑞100%股權、應收佩思債權，與馬維鈦業持有的新金國際51%股權進行置換。置出資產作價與置入資產作價的差額部分，擬以現金補足。本次簽署的《框架協議》僅為交易各方的初步意向，具體交易方案及交易條款以各方簽署的正式協議為準。
公吿顯示，新金國際持有馬維礦業100%股權，新金國際的主要資產為馬維礦業的股權。馬維礦業持有非洲馬拉維馬坎吉拉鋯鈦砂礦的採礦權，主要從事鋯鈦砂礦的開採、銷售業務，主要產品為TiO2 42%鈦中礦、ZrO2 20%鋯中礦、TFe 64%鐵精礦。截至公吿披露日，馬拉維馬坎吉拉鋯鈦砂礦尚未正式建成投產。
此次重組完成後，中潤資源不再從事房地產開發業務，但仍持有山東省威海市文登區師範學校(地塊)10棟房產、山東省威海市文登區珠海路205和207兩棟房產用於對外出租。此次重組擬置入資產為新金國際51%股權，新金國際全資控股馬維礦業有限公司，馬維礦業擁有非洲馬拉維馬坎吉拉鋯鈦砂礦，公司計劃聯合海南國際資源(集團)股份有限公司對馬坎吉拉鋯鈦砂礦投資，進行鋯鈦礦藏開採及銷售業務。
此次重組完成後，公司將全力聚焦礦產類的主營業務。待馬坎吉拉鋯鈦砂礦投產後，公司業務規模、競爭實力及抗風險能力將有較大的幅度的提升。
