中直股份(600038.SH)：擬收購昌飛集團及哈飛集團、實現直升機業務A股整體上市 明起復牌
格隆匯1月9日丨中直股份(600038.SH)公佈，公司擬向中航科工發行股份購買其持有的昌飛集團92.43%的股權、哈飛集團80.79%的股權，擬向航空工業集團發行股份購買其持有的昌飛集團7.57%的股權、哈飛集團19.21%的股權。
交易各方同意，此次交易標的資產的最終交易作價，將以符合《證券法》規定的資產評估機構對標的資產出具的、並經國資有權機構備案的評估報吿所載評估結果為參考依據，由交易各方協商確定。截至預案摘要簽署日，此次交易標的資產的審計、評估工作尚未完成。
交易完成後，中直股份將持有昌飛集團100%股權、哈飛集團100%股權，昌飛集團、哈飛集團將成為公司全資子公司。
此次交易中，公司擬向中航科工、航空工業集團全資子公司機載公司在內的不超過35名符合條件的特定投資者非公開發行A股股票募集配套資金。募集配套資金總額不超過此次擬以發行股份方式購買資產的交易價格的100%，且發行股份數量不超過此次發行股份購買資產完成後上市公司總股本的30%。最終的發行數量及價格按照證券監管機構的相關規定確定。
中航科工擬認購的募集配套資金金額為2億元，機載公司擬認購的募集配套資金金額為1億元。中航科工和機載公司不參與此次募集配套資金定價的市場詢價過程，但承諾接受市場競價結果並與其他投資者以相同價格認購。
此次募集配套資金擬用於支付此次交易相關費用、補充公司和標的公司流動資金或償還債務、標的公司相關項目建設等。募集配套資金具體用途及金額將在重組報吿書中予以披露。在發行股份募集配套資金到位之前，公司可根據實際情況以自籌資金先行支付，待募集資金到位後再予以置換。
此次交易前，中直股份現有核心產品既涉及直升機零部件製造業務，又涵蓋民用直升機整機、航空轉包生產及客户化服務，構建了系統與集成級的解決方案優勢，為政府客户、企業客户和消費者提供有競爭力的航空產品與服務，是國內領先的直升機和通用飛機系統集成和整機產品供應商。
此次交易的標的公司為昌飛集團、哈飛集團。昌飛集團及哈飛集團是我國直升機科研生產基地，主要從事多款直升機的研發、生產及銷售。此次交易完成後，公司業務完整性將得到增強，公司業務規模將有所提高，有利於直升機業務的資源整合和提升管理效率，助力提升公司創新力、核心競爭力、市場影響力和抗風險能力，實現直升機業務A股整體上市。
經向上海證券交易所申請，公司股票將於2023年1月10日開市起復牌。
