米蟲元宇宙(08645.HK)擬元宇宙證券及麗奧資產發展虛擬資產相關業務
格隆匯1月9日丨米蟲元宇宙(08645.HK)宣佈，於2023年1月9日，Goodway Max(由公司全資擁有)與百昇及Fantastic Adventure訂立股份認購協議，據此，Goodway Max同意分別以代價110萬港元及140萬港元向百昇認購250股股份及向Fantastic Adventure認購250股股份。
同日，Goodway Max亦與聯煌有限公司("賣方")就買賣百昇及Fantastic Adventure的股份訂立股份購買協議，據此，Goodway Max同意分別以代價20萬港元及30萬港元於百昇及Fantastic Adventure各自的已發行股本中購買54股股份。
股份認購及股份購買於緊隨分別簽署股份認購協議及股份購買協議後完成。於股份認購及股份購買完成後，集團持有的股權分別佔百昇及Fantastic Adventure的已發行股本總額約34.2%。百昇及Fantastic Adventure將被視作公司的聯營公司，而其業績將按權益法入賬。該兩間公司的已發行股本中約50.1%由賣方(由羅馬(元宇宙)集團有限公司(股份代號：8072)最終全資擁有)持有，而約15.7%則由Greenhouse GlobalLimited(一間於英屬處女羣島註冊成立的公司，由一名為公司獨立第三方的個人最終持有)持有。
據悉，百昇為一間於英屬處女羣島註冊成立的有限公司。除作為元宇宙(國際)證券有限公司("元宇宙證券")的投資控股公司外，百昇並無從事任何商業活動。元宇宙證券為一間於香港註冊成立的有限公司，為百昇的全資附屬公司，並獲香港證券及期貨事務監察委員會發牌進行證券及期貨條例項下第1類(證券交易)受規管活動，主要從事提供金融服務，包括證券經紀、配售及包銷。
Fantastic Adventure為一間於英屬處女羣島註冊成立的有限公司。除作為麗奧資產管理有限公司("麗奧資產")的投資控股公司外，Fantastic Adventure並無從事任何商業活動。麗奧資產為一間於香港註冊成立的有限公司，為Fantastic Adventure的全資附屬公司，並獲香港證券及期貨事務監察委員會發牌進行證券及期貨條例項下第4類(就證券提供意見)及第9類(資產管理)受規管活動，從事提供金融服務(包括資產管理)的業務。
公吿稱，作為策略投資者，集團將盡最大努力支持元宇宙證券及麗奧資產發展虛擬資產相關業務，包括區塊鏈技術研究及營銷支援。集團亦預期元宇宙證券及麗奧資產將在虛擬資產相關服務的合規、風險管理、客户資產保障及市場誠信方面遵循行業標準。
