復星國際(00656.HK)以67億人民幣出售天津建龍等四企持股
復星國際(00656.HK)公布,公司及全資附屬復星工發與兩買方簽訂股權轉讓協議,向建龍重工出售天津建龍25.7%的股權、建龍控股26.6667%的股權、北方建龍26.67%的股權,及向Camdragon Investment出售簡舟控股26.67%的股權。出售合共交易代價為67億元人民幣。
完成後,公司將不再持有四間目標公司之股權,而出售確認之實際稅後收益或虧損金額,須待核數師審閱後確定。集團料將累計確認變現處置收入約67億元,擬將所得款項用於一般資金用途。
天津建龍主要從事鋼鐵的生產和銷售業務,而建龍控股、北方建龍及簡舟控股主要從事投資控股,兩買家原已持有目標公司多數股權。(ek/k)
