仕淨科技(301030.SZ)：與愛杭投資簽署戰略合作框架協議
格隆匯1月2日丨仕淨科技(301030.SZ)公佈，公司(“乙方”)與浙江愛杭股權投資基金管理有限公司(“愛杭投資”或“甲方”)於2022年12月30日簽署了《戰略合作框架協議》：甲乙雙方在各自領域擁有良好的業務資源，為推動業務合作，促進雙方共同發展，本着平等互利、優勢互補的原則，經友好協商雙方同意簽署本戰略合作框架協議。
雙方擬就組建產業基金一事達成戰略合作意向，並就產業基金的設立模式做出初步規劃，基金最終的設立條款以具體基金合同及相關文本為準。
1、大基金合作模式
擬由甲方作為基金管理人，乙方作為基金出資人，共同設立捕碳鋼渣及礦粉產業基金，基金計劃總規模不超過10億元，首期實繳不低於1億元。基金通過與乙方設立合資公司的方式，投資於乙方在全國範圍內佈局的鋼渣及礦粉項目公司。基金設立過程中，由乙方作為基石出資人出資不低於50%，由甲方負責基金剩餘不超過50%部分政府資金募集，未來合資公司需落户至甲方引入的地方政府區域內新建生產線，並對合資公司未來產值及税收貢獻做出相應承諾。
2、多隻小基金合作模式
擬由甲方作為基金管理人，乙方作為基金出資人，共同設立多隻捕碳鋼渣及礦粉產業基金，單隻基金規模1-5億元，合計規模30億元。基金通過直投的方式投資於乙方在全國範圍內佈局的鋼渣及礦粉項目公司。基金設立過程中，由乙方作為基石出資人出資不低於50%，由甲方負責基金剩餘不超過50%部分政府資金募集，未來項目公司需落户至甲方引入的地方政府區域內新建生產線，並對合資公司未來產值及税收貢獻做出相應承諾。
3、產業基金融資模式
擬由甲方作為基金管理人，甲方引入的社會資本作為基金出資人，共同設立多隻捕碳鋼渣及礦粉產業基金，單隻基金規模2億元，合計規模10億元。基金通過直投的方式投資於乙方在全國範圍內佈局的鋼渣及礦粉項目公司。未來由乙方及其實際控制人對基金退出提供相應保障。
雙方在各自領域擁有良好的業務資源，協議的簽署有利於推動業務合作，促進雙方共同發展。產業基金的模式有利於公司積極把握在捕碳鋼渣及礦粉行業的發展機會，擴大和完善產業佈局，有利於公司戰略實施的推進及長遠發展。
