格隆匯12月30日丨大唐集團控股(02117.HK)公吿,有關(其中包括)收購重慶遠20%股權。於2022年12月30日,重慶唐承(公司全資附屬公司)與重慶核盛及天譽巨榮(作為賣方)及重慶遠(作為目標公司)訂立股份轉讓協議,據此,重慶唐承有條件同意分別收購,而重慶核盛及天譽巨榮有條件同意分別出售目標公司60%及20%股權,總代價為人民幣5.42億元,當中包括(1)重慶唐承承擔重慶核盛(其中一名賣方)結欠目標公司的債務,金額為人民幣2.62億元;及(2)抵銷重慶核盛結欠重慶唐承的款項人民幣2.8億元。

於收購事項前,目標公司的註冊資本為人民幣1億元,由重慶唐承、重慶核盛及天譽巨榮分別持有20%、60%及20%。於完成後,目標公司將成為公司間接全資附屬公司。

於收購事項前,目標公司的股權由重慶唐承、重慶核盛及天譽巨榮分別持有20%、60%及20%。目標公司主要從事房地產發展及商品房銷售。於公吿日期,目標公司在中國重慶市璧山區璧城街道新勝村持有一個在建住宅物業項目,總佔地面積為約128,000平方米。目標公司擬將該住宅物業項目發展為一棟住宅樓宇,總規劃建築面積為約448,000平方米。

集團的經營策略是專注在中國發展物業及擴展物業投資業務。雖然2022年國際局勢動盪多變,中國房地產開發商經歷了行業發展近年來最艱難的一年,惟集團預計,在政府頒佈各項利好政策的連續刺激下,中國房地產市場將逐步回暖。

截至2022年11月30日,建築面積合共127,000平方米的重慶天譽林溪府項目(目標公司持有的物業項目)已經出售。重慶天譽林溪府項目第一期現處於項目驗收的最後階段和準備交付。重慶天譽林溪府項目第二及第三期現處於中期施工階段,而重慶天譽林溪府項目第四期則處於施工的初步階段。項目仍需要更多財務資源,確保預售樓房可準時交付。

預計目標公司持有的中國重慶市璧山區璧城街道新勝村的住宅物業項目將於2024年竣工,而且於收購事項並將目標公司的財務業績併入集團的財務報表後,短期內銷售住宅物業帶來的合約銷售額將為集團的收益及一般現金流帶來豐厚回報。董事會亦認為,收購事項將優化集團在開發優質住宅項目方面的現有業務,並鞏固其在重慶市的地位,為集團旗下的未來發展項目帶來協同效應。
