三一重工(600031.SH)：擬發行GDR並在德國法蘭克福證券交易所上市
格隆匯12月23日丨三一重工(600031.SH)公佈，為拓展公司國際融資渠道，滿足公司國際業務發展需要，進一步加強全球品牌影響力，堅定不移地推進國際化戰略，根據相關監管要求，公司擬發行全球存託憑證(Global Depositary Receipts，“GDR”)，並申請在德國法蘭克福證券交易所(The Frankfurt Stock Exchange)掛牌上市，GDR以新增發的公司人民幣普通股(A股)作為基礎證券。
為完成此次發行上市，公司擬根據相關法律法規的規定轉為境外募集股份有限公司，並根據GDR招股説明書所載條款及條件，向符合相關條件的投資者發行GDR。
2022年3月16日，公司披露了籌劃境外發行全球存託憑證並在瑞士證券交易所上市的意向。基於數智化戰略和海外產業佈局考慮，公司擬將GDR上市地調整為德國。公司積極推進數智化戰略，致力於成為全球智能製造標杆，而德國在全球率先推出工業4.0，擁有一批世界先進製造業企業，在智能製造方面處於全球領先水平。另外，公司於2012年收購全球混凝土設備知名企業—德國普茨邁斯特公司(Putzmeister Holding GmbH)，並在德國建立海外最大的研發製造基地，德國是全球工程機械製造重鎮，也是公司最重要的海外市場之一。
公司此次發行GDR所代表的新增基礎證券A股股票不超過4.25億股(包括因任何超額配股權獲行使而發行的證券，如有)，不超此次發行前公司普通股總股本的5%。若公司股票在此次發行董事會決議日至發行日期間發生送股、資本公積金轉增股本或配股等除權行為，則此次發行GDR所代表的新增基礎證券A股股票的數量將按照相關規定進行相應調整。
此次發行GDR募集資金扣除發行費用後，擬將其用於推動公司全球化佈局，包括於國際化研發投入、海外銷售服務渠道建設、海外人才團隊建設、海外燈塔工廠建設及補充公司運營資金。具體募集資金用途及投向計劃以GDR招股説明書的披露為準。
