三友化工(600409.SH)：董事會批准收購山西三佳新能源科技集團硅化工板塊資產
格隆匯12月13日丨三友化工(600409.SH)公佈，鑑於三佳集團硅化工板塊的工業硅、有機硅項目符合公司長遠發展戰略，為加快構建公司“三鏈一羣”產業佈局，建立工業硅生產基地，完善有機硅上游產業鏈，快速提升有機硅產能，發展壯大有機硅新材料產業，經審慎考慮，2022年7月，公司向管理人提交了硅化工板塊意向投資者報名材料，並繳納了2000萬元意向保證金。2022年12月2日，公司通過三佳集團硅化工板塊投資人第二輪遴選，中選為三佳集團硅化工板塊重整投資人。公司擬以向三佳集團管理人支付不超過10.50億元(含)的現金對價方式，通過重整計劃及重整投資協議的約定，取得三佳集團硅化工板塊兩個標的公司(即佳輝硅業、佳輝硅化工)股權及資產。投資範圍為三佳集團硅化工板塊兩個標的公司剝離負債後不低於67%(含)的股權及股權下的相關資產(包括固定資產、在建工程、無形資產及建設期間形成的留抵進項税額)。投資範圍不含兩個標的公司股權下的全部負債和其他不收購的資產(包括貨幣資金、應收款項、存貨、其他流動資產中的往來款項)。
2022年12月12日，公司召開了2022年第三次臨時董事會會議，審議通過了《關於收購山西三佳新能源科技集團有限公司硅化工板塊資產的議案》。董事會同意本次重整投資方案，以支付不超過10.50億元(含)現金對價方式，通過重整計劃及重整投資協議的約定，取得三佳集團硅化工板塊兩個標的公司(即佳輝硅硅業、佳輝硅化工)剝離負債後不低於67%(含)的股權及股權下的相關資產(包括固定資產、在建工程、無形資產及建設期間形成的留抵進項税額)，並授權公司管理層與三佳集團管理人展開談判，在取得標的公司控股權的前提下確定最終投資合作方案和股權比例、簽署相關重整投資協議，根據實際工作進展情況按約定繳納履約保證金、支付投資價款、辦理股權變更、資產過户交割等相關工作。
有機硅產業為公司四大主業之一，工業硅為有機硅生產的主要原料，標的企業擁有5萬噸/年工業硅產能和8萬噸/年有機硅單體產能，產業鏈配套完整。相關資產收購完成後，可與三友硅業協同發展，有利於完善公司有機硅產業鏈，實現有機硅產業上下游一體化發展，壯大有機硅新材料產業，符合公司“向海洋轉身、向綠色轉型、向高質量轉變”、構建“三鏈一羣”產業佈局的長遠發展戰略。
內蒙古地區硅石資源儲量豐富，該項目目前擁有5萬噸/年工業硅產能，通過後期擴建發展，工業硅產能可進一步提升，滿足公司未來有機硅產業發展的需求，有利於穩定原料供應，解決發展瓶頸，實現有機硅產業高質量發展。
內蒙古地區火電、光伏、風電等電力資源豐富，用電綜合成本較低。因此，在電價普遍上漲的情況下，在全國工業硅項目中該項目具有較強的成本優勢和競爭優勢。在當地發展有機硅和工業硅產業，有利於降低生產成本，增強整體抗風險能力。
