東華科技(002140.SZ)：與榆林化學擬聯合參與康乃爾公司的破產重整
格隆匯12月13日丨東華科技(002140.SZ)公佈，公司與陝煤集團榆林化學有限責任公司(“榆林化學”)組成聯合體，擬參與內蒙古康乃爾化學工業有限公司(“康乃爾公司”)的破產重整。近日，公司、榆林化學、康乃爾公司、康乃爾公司管理人簽訂《意向投資協議書》。
根據《意向投資協議書》，此次投資標的對應的資產估值為人民幣13.9億元。假設在僅有公司選擇留債清償的情況下，康乃爾公司重整完成後的負債為107172.5328萬元。在上述前提下，公司與榆林化學聯合體預計支付現金為31827.4672萬元，其中公司預計支付金額為19096.48萬元。
公吿顯示，康乃爾公司是該項目的投資、建設和運營主體。2014年3月，公司與康乃爾公司簽訂《內蒙古康乃爾30萬噸／年煤制乙二醇項目EPC／交鑰匙工程總承包合同》，合同價款為43.11億元，2015年6月合同價款調整為36.96億元。
自2014年10月起，因康乃爾公司資金問題，該項目處於非正常執行狀態。本着雙方合作互信的態度，公司維持項目低負荷施工至2016年底。該項目建設已取得必要的審批，建設程序合法合規，工程總進度已完成約75%，已建工程的完整性和停工保護等情況較好。
公司系康乃爾公司30萬噸／年煤制乙二醇項目的總承包商，就康乃爾公司拖欠工程款事宜提起了2次民事訴訟。根據法院判決結果，康乃爾公司應支付公司工程款本金計107172.5328萬元及利息等。
公司在“十四五”規劃中明確提出“實業化”發展戰略，積極佈局高端化學新材料業務。公司擁有先進的乙二醇工程技術和乙二醇下游產品的技術儲備，可以穩妥有效地開展該項目的續建工作，確保生產裝置達標達產。同時，公司可以此生產基地為平台，開展乙二醇及下游產品的技術研發，形成並鞏固在乙二醇產業鏈上的工程和實業優勢。
榆林化學具有豐富的生產管理經驗和成熟的產品銷售渠道。公司與榆林化學組成聯合體參與康乃爾公司的破產重整，有利於提高康乃爾公司後續生產經營管理水平，不存在損害公司和全體股東利益的情形。
