皇氏集團(002329.SZ)：擬向農光互補公司進行增資擴股2500萬元
格隆匯12月12日丨皇氏集團(002329.SZ)公佈，2022年12月10日，公司與深圳市奕鳴新能源有限公司、中冠投資(江蘇)有限公司、廣西南寧小牛企業管理合夥企業(有限合夥)共同簽訂了《皇氏農光互補(廣西)科技有限公司增資協議》。協議約定：協議各方同意公司向農光互補公司進行增資擴股2500萬元，公司以人民幣2500萬元認繳農光互補公司新增的註冊資本，資金來源為自有資金。此次增資完成後，農光互補公司註冊資本由人民幣10000萬元增加至12500萬元。此次增資完成後，公司持有農光互補公司56%的股權並取得農光互補公司控制權，農光互補公司將納入公司合併報表範圍。
此次增資符合公司整體戰略升級需要，公司把“可持續發展與減碳”作為重要的社會責任和企業發展的重要戰略目標，同時做出了“可持續發展與減碳”的全面規劃，並在重點環節取得突破。公司通過農光互補、牧光互補項目賦能乳業板塊發展，聚焦綠色轉型，在推動光伏科技賦能乳業主業降本增效、帶動鄉村振興方面走出一條新路，助力國家“碳達峯、碳中和”目標早日實現。
除對於乳業起到降本增效作用外，農光互補公司目前各項業務架構已經搭設完畢，EPC業務已經逐步實施，TOPCon太陽能電池工廠已按計劃開工建設，有望成為公司業務增長新一極。一方面，農光互補公司目前正在積極拓展光伏EPC工程業務，已取得了户用光伏EPC工程業務訂單，目前已開工建設；另一方面，農光互補旗下子公司項目目前正在穩步推進，採取訂單先行策略，目前項目公司已經簽訂意向訂單，並採取委託第三方代加工的方式以完成部分訂單，為新工廠的投產積累客户資源。
綜上，隨着農光互補公司EPC業務、TOPCon太陽能電池業務的順利實施，將有利於增厚公司的經營業績，增強公司競爭力。此次增資的資金來源於公司自有資金，不會對公司財務狀況和經營情況產生重大影響。
