亞瑪頓(002623.SZ)：終止收購鳳陽硅谷智能100%的股權
格隆匯12月4日丨亞瑪頓(002623.SZ)公佈，公司於2022年12月2日召開第五屆董事會第三次會議及第五屆監事會第三次會議，審議通過了《關於終止發行股份及支付現金購買資產並募集配套資金暨關聯交易事項的議案》等相關議案，同意公司終止發行股份及支付現金購買資產並募集配套資金暨關聯交易的相關事項。
此前披露，公司原擬通過發行股份及支付現金方式購買上海苓達信息技術諮詢有限公司(曾用名：壽光靈達信息技術諮詢有限公司)、上海達菱企業管理諮詢中心(有限合夥)(曾用名：壽光達領創業投資合夥企業(有限合夥))、中國石化集團資本有限公司、黃山高新毅達新安江專精特新創業投資基金(有限合夥)、揚中高投毅達創業投資基金合夥企業(有限合夥)、宿遷高投毅達產才融合發展創業投資合夥企業(有限合夥)和常州華輝創業投資合夥企業(有限合夥)持有的鳳陽硅谷智能有限公司(“標的公司”)100%的股權，同時擬向不超過35名符合條件的特定投資者非公開發行股份募集配套資金。
自本次交易方案公佈以來，公司董事會、管理層與相關中介機構嚴格按照相關法律法規及規範性文件要求，積極組織交易各相關方推進本次交易的各項工作。
鑑於本次交易歷時較長，標的公司所處行業和市場受到俄烏衝突、通脹加速等客觀因素的影響，原材料和燃料均承受了較大的成本上升的壓力，加之國內外宏觀經濟和資本市場等環境較本次交易籌劃之初發生較大變化,故標的公司股東上海苓達信息技術諮詢有限公司、上海達菱企業管理諮詢中心（有限合夥）提出終止本次交易。經公司審慎研究並與各交易對方友好協商與溝通，現階段繼續推進本次交易存在較大不確定性風險，為切實維護公司及全體股東利益，公司決定終止本次重大資產重組事項。
後期公司將在綜合考慮外部環境變化、公司戰略規劃、估值調整等因素的前提下重新籌劃本次交易事項。
