三一國際(00631.HK)附屬擬以現金方式向三一機器人出資
格隆匯11月30日丨三一國際(00631.HK)公佈，於2022年11月30日，公司直接全資附屬公司三一重裝、三一集團、長沙智頂與長沙智強已同意受經修訂章程約束，將三一機器人的註冊資本由人民幣5000萬元增加至人民幣1億元，並以現金方式向三一機器人出資。
根據經修訂章程，三一重裝將出資人民幣1300萬元、三一集團將出資人民幣700萬元、長沙智頂(三一重裝作為普通合夥人並擁有99.9%股權)將出資人民幣1500萬元，而長沙智強(三一重裝作為普通合夥人並擁有約82.13%股權)將合共出資人民幣1500萬元，作為對三一機器人的出資。
於出資前，三一重裝及三一集團分別持有三一機器人的65%及35%股權。於出資完成後，三一重裝、三一集團、長沙智頂及長沙智強將分別持有三一機器人的45.5%、24.5%、15%及15%股權。長沙智頂及長沙智強均由三一重裝直接控制。由於出資，三一重裝將合共擁有三一機器人約72.80%的實際權益(包括直接及間接權益)。
據悉，三一機器人依託5G╱工業互聯網╱AI等先進技術，不斷加強研發能力、核心零部件自制，形成核心技術。打造智能產線、智慧倉儲物流、智能叉車三大業務板塊，不斷完善產品型譜，先後有AGV新品、2T堆垛式叉車及3T高壓鋰電平衡重叉車等新品陸續下線，賦能離散製造業和新能源行業(鋰電、風電等產業鏈)智慧化、電動化、無人化轉型升級。三一機器人專注智慧工廠與智慧產線規劃，打造行業品牌。
出資將用於三一機器人的業務營運及發展。董事會相信，三一機器人可自出資中受益，獲得額外資本，為其智能產品的開發及生產提供資金，同時，長沙智頂及長沙智強均由三一機器人核心員工持股，三一機器人引入上述兩家員工持股平台，有助於充分調動核心員工積極性，增強三一機器人業務競爭力，從而促進集團長期可持續發展。
