好利科技(002729.SZ)：擬收購上海嘉行54.4842%的股權、利於促成與T3出行平台的深度合作 明起復牌
格隆匯11月27日丨好利科技(002729.SZ)公佈，公司以發行股份及支付現金方式購買上海嘉行汽車服務有限公司(“上海嘉行”)54.4842%股權，併發行股份募集配套資金，具體如下：
2022年11月25日，好利科技與領行汽服、上海符英、嘉合知行簽署《發行股份及支付現金購買資產協議》，根據協議約定，好利科技擬以發行股份及支付現金的方式收購領行汽服所持標的公司35.9705%股權，作價暫定為49999萬元，其中好利科技擬以現金方式支付25000萬元交易對價，以股份方式支付24999萬元交易對價；好利科技擬以發行股份的方式收購上海符英、嘉合知行分別所持標的公司14.3134%、4.2003%股權，作價分別暫定為19896萬元、5838萬元。此次交易中上市公司合計向交易對方收購取得標的公司54.4842%股權，標的公司將成為上市公司之控股子公司。
經上市公司與領行汽服協商同意，此次交易完成後，領行汽服將其持有的標的公司剩餘21.2831%股權對應的表決權委託給上市公司行使。上市公司與領行汽服將另行簽署《表決權委託協議》對錶決權委託相關事項進行具體約定。
截至預案摘要簽署日，經交易各方友好協商，此次交易中對標的資產整體作價暫定為75733萬元，其中領行汽服、上海符英、嘉合知行持有的上海嘉行35.9705%、14.3134%、4.2003%股權作價分別暫定為49999萬元、19896萬元、5838萬元，對應標的公司100%股權預估值為13.9億元。
同時，公司擬向不超過35名特定對象發行股票募集配套資金，發行股份數量不超過發行前公司總股本的30%，募集配套資金總額不超過此次交易中以發行股份方式購買資產交易價格的100%。
此次配套融資的用途包括但不限於支付此次交易的全部或部分現金對價、投入標的公司項目建設、補充上市公司和標的公司流動資金、支付中介機構費用等，募集配套資金具體用途及金額將在重組報吿書中予以披露。最終發行數量將在中國證監會核准後，按照《發行管理辦法》等相關規定，由上市公司董事會根據股東大會的授權與獨立財務顧問協商確定。
標的公司主營業務為中高端用車長租業務、短租業務、網約車、差旅接送業務等，併為客户構建更高效的用車服務與管理解決方案。最近兩年，標的公司主營業務未發生變化，從業務結構看，標的公司的主營業務包括汽車租賃和與汽車租賃相關的其他配套服務。
上市公司與標的公司分屬於不同行業，通過此次交易，上市公司將增加汽車租賃業務，快速切入交通運輸服務領域，實現公司主營業務多元化發展。此次重組有利於促成上市公司與T3出行平台的深度合作，並推動上市公司與長安、東風、一汽三大主機廠商在新能源汽車領域的深度合作，有利於上市公司圍繞發展戰略進一步貫通下游應用市場，擴大在新能源汽車產業鏈上的佈局，為上市公司帶來上下游產業鏈的協同發展，形成產業鏈上下游一體化格局，為上市公司主業協同運營創造價值，拓展新的利潤增長點，擴大業務規模，進而提升持續盈利能力和抗風險能力。
經公司向深圳證券交易所申請，公司股票將於2022年11月28日開市時起復牌。
