ST大集(000564.SZ)：公司能否與意向戰略投資人達成協議尚存在不確定性
格隆匯11月27日丨ST大集(000564.SZ)發佈股票交易異常波動的公吿，近期公司股票價格短期內漲幅較大，公司股票自2022年11月4日起16個交易日已觸及5次股價異常波動情形，2022年11月25日收盤價格2.03元，較2022年11月4日前日收盤價格漲幅達到103%。公司所屬中國證監會批發和零售行業平均市淨率為1.79倍，公司市淨率為2.96倍，高於行業平均水平，在當前公司基本面尚未發生重大變化的情況下，存在估值偏高的風險。公司股價短期波動較大，敬請廣大投資者注意二級市場交易風險，理性決策，審慎投資。
經公司自查，截至公吿披露日，受疫情影響，部分地區員工居家辦公，西安地區百貨門店、天津地區百貨門店的密閉娛樂場所、重慶地區商貿地產物業存在臨時停業的情況。國內疫情雖已得到有效控制，但仍有反覆，尚不確定後續可能的影響，公司將積極應對，最大限度減少疫情影響。目前公司整體生產經營活動正常，公司內外部經營環境未發生重大變化，不存在其他應披露而未披露的重大信息。
公司已於2021年12月31日完成重整工作，根據《供銷大集集團股份有限公司及其二十四家子公司重整計劃》中“先重整，後引戰”的相關安排，已預留531,776.87萬股用於引進戰略投資人。公司於2022年9月13日收到中國供銷集團有限公司子公司新供銷產業發展基金管理有限責任公司(“新供銷基金”)的《投資意向函》，於2022年10月26日與意向戰略投資者新供銷基金簽訂《戰略合作框架協議》，詳見2022年9月14日《關於收到新供銷產業發展基金管理有限責任公司投資意向函的公吿》(公吿編號：2022-084)、2022年10月26日《關於與新供銷產業發展基金管理有限責任公司簽訂戰略合作框架協議的公吿》(公吿編號：2022-103)。
截至目前，除上述《戰略合作框架協議》外，公司尚未與任何意向戰略投資人簽署相關正式協議，公司能否與意向戰略投資人達成協議尚存在不確定性，意向戰略投資人不受任何約束，未來是否會退出存在重大不確定性。公司將根據上市公司相關規則披露意向戰略投資人引入的有關進展，提請廣大投資者注意投資風險。
