大華股份(002236.SZ)：擬以7219.2萬美元出售海外子公司及相關資產
格隆匯11月24日丨大華股份(002236.SZ)公佈，2022年11月23日，公司召開第七屆董事會第三十六次會議，審議通過了《關於出售海外子公司100%股權及相關資產的議案》。為積極應對當前國際市場環境變化，結合公司戰略及業務實際發展情況，公司董事會同意下屬全資公司Dahua Europe B.V.(“大華歐洲”或“賣方”)與Skywatch, Inc.(“Skywatch”或“買方”)簽署《SHARE PURCHASE AGREEMENT》(《股份購買協議》)，將大華歐洲持有的Lorex Technology Inc(“加拿大Lorex”)、Lorex Corporation(“美國Lorex”)、Lorex Technology UK Limited(“英國 Lorex”)共三家公司(以下合稱 “目標公司”或“Lorex”)的100%股權，及公司持有的Lorex商標等資產出售給Skywatch。綜合考慮資產評估結果以及評估基準日(2021年12月31日)後大華歐洲對Lorex的增資，經交易雙方共同協商，此次交易價款確定為7219.2萬美元。
為積極應對國際市場環境變化，進一步完善相關市場佈局，實現資源優化配置，根據公司發展戰略及經營計劃，公司決定出售Lorex 100%股權及相關資產。此次交易涉及資產定價在參考目標公司及相關資產3480萬美元的評估值基礎上，考慮評估基準日後大華歐洲對目標公司3719.44萬美元的增資款，最終雙方協商確認交易價格為7219.2萬美元，定價公允合理。
此次交易完成後，公司預計實現股權轉讓收益約為人民幣54020.53萬元(不考慮所得税，最終以審計結果為準)。Lorex業務及相關資產佔公司整體經營規模較小，出售後對公司經營、未來財務狀況影響有限。未來，公司將嚴格遵守業務所在地所適用的法律和法規，持續加強技術創新，繼續為客户和合作夥伴提供持續、穩定、優質的產品、解決方案和服務。
