高樂股份(002348.SZ)：控股股東將變更為華統集團 22日復牌
格隆匯11月22日丨高樂股份(002348.SZ)公佈，2022年11月17日，華統集團有限公司(簡稱“華統集團”)與興昌塑膠五金廠有限公司簽署《廣東高樂股份有限公司股份轉讓協議》，約定華統集團通過協議轉讓方式受讓興昌塑膠五金廠有限公司持有的公司約1.33億股無限售流通股份(佔公司股本總額的14%)。
2022年11月17日，普寧市新鴻輝實業投資有限公司(簡稱“新鴻輝實業”)與陳柱簽署《廣東高樂股份有限公司股份轉讓協議》，約定陳柱通過協議轉讓方式受讓新鴻輝實業持有的公司約5170.11萬股無限售流通股份(佔公司股本總額的5.46%)。
2022年11月17日，楊廣城、普寧市園林文化用品有限公司、普寧市新南華實業投資有限公司、興昌塑膠五金廠有限公司與王翔宇簽署《廣東高樂股份有限公司股份轉讓協議》，約定陳柱通過協議轉讓方式受讓楊廣城、普寧市園林文化用品有限公司、普寧市新南華實業投資有限公司、興昌塑膠五金廠有限公司合計持有的公司約5247.58萬股無限售流通股份(佔公司股本總額的5.54%)。
2022年11月17日，華統集團與興昌塑膠五金廠有限公司、楊廣城簽署《表決權委託協議》，約定興昌塑膠五金廠有限公司、楊廣城將合計其持有的公司合計約7331.16萬股股票(佔公司股本總額的7.74%)表決權委託給華統集團行使。委託期限為自該協議簽署之日起至高樂股份該次向特定對象發行股份登記完成之日止。
該次股份轉讓、該次表決權委託完成後，華統集團將直接持有公司約1.33億股股份(佔公司股本總額的14.00%)；通過表決權委託的方式控制興昌塑膠五金廠有限公司、楊廣城將合計其持有的公司合計約7331.16萬股股份(佔公司股本總額的7.74%)對應的表決權。
因此，華統集團在高樂股份擁有表決權的股份數量合計為約2.06億股(佔公司股本總額的21.74%)，楊氏家族持股比例下降至7.74%，且在表決權委託期限內，不再擁有對應持有股份的表決權，因此公司的控股股東及實際控制人將發生變化，公司的控股股東將變更為華統集團，實際控制人變更為朱儉勇、朱儉軍。
2022年11月21日，公司已與發行對象華統集團簽訂了《附條件生效的股份認購協議》，並擬向華統集團非公開發行股票募集資金。此次非公開發行募集資金總額約為5.34億元，扣除發行費用後將全額用於補充流動資金。
此外，公司股票自2022年11月22日(星期二)開市起復牌。
