力勤資源(02245.HK)預計12月1日上市 引入寧德時代附屬及混改基金等多家基石
格隆匯11月21日丨力勤資源(02245.HK)發佈公吿，公司擬全球發售2.325億股股份，其中香港發售股份2325.48萬股，國際發售股份2.093億股，另有15%超額配股權；2022年11月21日至11月24日招股，預期定價日為11月24日；發售價將為每股發售股份15.60-19.96港元，每手買賣單位200股，入場費約4032港元；中金公司及招銀國際為聯席保薦人；預期股份將於2022年12月1日於聯交所主板掛牌上市。
集團是一家鎳全產業鏈公司。集團同時進行鎳產品的貿易及生產業務。根據灼識諮詢報吿，在鎳產品貿易領域，按2021年的鎳產品貿易量計，集團在全球排名第一，按2021年的鎳礦貿易量計，集團在中國排名第一，2021年的市場份額為26.8%。根據灼識諮詢報吿，在鎳產品生產領域，集團與印度尼西亞合作伙伴在印度尼西亞奧比島合作開發的HPAL項目(“HPAL項目”)是全球技術最先進的鎳鈷化合物濕法冶煉項目之一，也是全球現金成本最低的鎳鈷化合物生產項目。憑藉多年積累的深厚行業認知，集團形成了全面的產品服務體系，業務涵蓋上游鎳資源採購、鎳產品貿易、冶煉生產、設備製造與銷售等在內的多個產業環節。集團不斷地向鎳行業上下游延伸，完成了對鎳產業鏈環節的垂直整合，產品廣泛地應用於新能源汽車、不鏽鋼行業等下游領域。
公司已訂立基石投資協議。根據基石投資協議，基石投資者已同意，在若干條件的規限下認購或促使其指定實體認購相關數目的發售股份，有關發售股份可按發售價購買，總額約為25.51億港元。 假設發售價為19.96港元(即發售價範圍的上限)，則基石投資者將認購的發售股份總數將約為1.28億股。基石投資者包括香港邦普時代新能源有限公司(寧德時代(300750.SZ)的間接控股附屬公司)、中國國有企業混合所有制改革基金有限公司 、寧波市鄞州區金融控股有限公司、格林美香港國際物流有限公司(格林美(002340.SZ)全資擁有)、以及湖北容百電池三角壹號股權投資基金合夥企業(有限合夥)。
假設發售價為每股發售股份17.78港元(即本招股章程所述發售價範圍的中位數)且超額配股權未獲行使，集團估計將收取的全球發售所得款項淨額將約為39.646億港元。集團擬將全球發售所得款項淨額約56.4%用於奧比島的鎳產品生產項目的開發及建設；約24.0%將用於向CBL(集團與寧德時代成立的合營企業)增資；約9.6%將用於就位於印度尼西亞的鎳礦資源作出潛在少數股權投資；以及估計所得款項淨額總額約10.0%將用作集團的營運資金及作一般公司用途。
