百家淘客(08287.HK)將向相關執法機關報吿有關新附屬公司資金的可能耗散及挪用事件
格隆匯11月18日丨百家淘客(08287.HK)公吿，在調查被質疑董事期間(調查尚未吿終)，董事會獲悉，公司的全資附屬公司Zioncom (BVI) Limited於2022年4月22日註冊成立了一間新的全資附屬公司。
根據董事會目前掌握的資料，吾等注意到：(i) 新附屬公司為一間以中國雲基集團有限公司名義註冊成立的香港有限公司；(ii) Zioncom BVI為新附屬公司的唯一股東，因此，新附屬公司註冊成立後，即為公司間接全資附屬公司；(iii) 其中一位被質疑董事鄭君瑜先生及另一名人士鍾成業先生均獲委任為新附屬公司的董事；(iv) 註冊成立新附屬公司一事經由Zioncom BVI唯一董事書面決議的方式批准。有關書面決議案由其中一位被質疑董事金俊燁先生簽署，相關注冊成立文件則由另一位前管理層成員彭先生呈交予公司註冊處；(v) 新附屬公司於渣打銀行(香港）有限公司設有銀行賬户。於2022年9月30日，新附屬公司銀行賬户存有約12.16百萬港元現金。於2022年10月5日，有約10.68百萬港元存入新附屬公司銀行賬户。賬户存款總額約為23.0百萬港元；及(vi) 自2022年10月5日至2022年10月28日，新附屬公司資金當中約22.8百萬港元款項被提取。
鑑於上述發現及公司供股已於2022年9月底前完成，董事會有理由相信，新附屬公司資金(其為集團資產)大部分金額在前管理層成員或其他人員(包括但不限於鄭先生、金先生、彭先生及鍾先生)授權下被提取及耗散。
董事會謹此知會，儘管作出多次嘗試及多番要求，前管理層仍然未交還其挪用的文件、賬簿及記錄以及集團的財產及資產予公司。於本公吿日期，公司仍未取回附屬公司的控制權，包括控制集團所有銀行賬户的權力，亦未自前管理層獲得任何回覆。根據高等法院的決定，被質疑董事自2022年4月29日起已被罷免董事職務。然而，被質疑董事(亦為前管理層成員)拒絕辭職和退任，亦拒絕取消其作為公司銀行賬户簽名人的身份。此外，儘管董事會多番要求，前管理層仍拒絕就授權簽名人更改銀行授權書，亦拒絕返還銀行文件，包括銀行月報表以及支票簿。
公司將向相關執法機關(包括但不限於香港警務處及廉政公署)報吿有關新附屬公司資金的可能耗散、挪用事件及未經授權擅自控制集團銀行賬户的最新狀況。公司亦已指示其法律顧問向前任管理層及其他相關人員提出法律訴訟，以取回其挪用的集團財產以及就集團因此蒙受的虧損索償。
