交運燃氣(01407.HK)擬全球發售1.1億股 預計11月16日掛牌上市
格隆匯10月31日丨交運燃氣(01407.HK)發佈公告，公司擬全球發售1.10億股股份，其中香港發售股份1100萬股，國際發售股份9900萬股，另有15%超額配股權；2022年10月31日至11月7日招股，預期定價日爲11月7日；發售價將爲每股發售股份1.42-1.62港元，每手買賣單位2000股，入場費約3273港元；興證國際爲獨家保薦人；預期股份將於2022年11月16日於聯交所主板掛牌上市。
集團是一家擁有超過16年經驗的天然氣營運商。集團於山東省濰坊巿高密市運營。高密市面積約爲1523.5平方公裏，截至2021年的居住人口約爲89.5萬人。集團已經連續五年獲評爲高密市優秀企業。根據中郡縣域經濟研究所發佈的《2021縣域經濟與縣域發展監測評估報告》，高密市於2021年在中國百強縣中排名第74。集團與高密市市政管理局訂立特許協議，據此，集團擁有獨家權利於經營區域內營運管道天然氣銷售及相關業務，有效期自2009年8月18日起爲期30年。於最後實際可行日期，集團特許權下的經營區域佔高密市總行政區域的約70.0%。集團的管道天然氣供應商爲中石油及山東實華(由中石化擁有50%)。集團已就管道天然氣採購與彼等訂立主協議及一系列實際採購合約。集團的管道天然氣客戶主要爲零售(包括住宅、商業及工業)管道天然氣終端用戶。集團亦從事壓縮天然氣及液化天然氣銷售、提供建設及安裝服務及燃氣器具銷售。於最後實際可行日期，集團不擬將其業務擴展至高密市以外。
集團估計將收到全球發售所得款項淨額約1.222億港元(假設發售價爲每股股份1.52港元，即指示性發售價範圍的中位數)，此經扣除包銷費用及傭金以及集團有關全球發售的估計已付及應付開支，並假設超額配股權未獲行使。其中全球發售所得款項淨額約48.5%，將用於上市後三年內通過在經營區域內建設約101.0公裏的新中壓管道(涵蓋若幹農村及偏遠工業地區)，以擴充管道天然氣銷售業務；約20.5%將用於升級集團約43.4公裏的城巿管道網絡；約6.9%將用爲經營區域內超過1.95萬個家庭將現有燃氣表更換爲金卡表；約14.1%將用於建設合共約18.0公裏的管道天然氣終端用戶管道並將該等管道連接至集團的城市管道網絡以實踐清潔能源村莊項目，惠及經營區域內超過5500個家庭；及佔全球發售所得款項淨額約10.0%將用作營運資金及其他一般公司用途。
