交运燃气(01407.HK)拟全球发售1.1亿股 预计11月16日挂牌上市
格隆汇10月31日丨交运燃气(01407.HK)发布公告，公司拟全球发售1.10亿股股份，其中香港发售股份1100万股，国际发售股份9900万股，另有15%超额配股权；2022年10月31日至11月7日招股，预期定价日为11月7日；发售价将为每股发售股份1.42-1.62港元，每手买卖单位2000股，入场费约3273港元；兴证国际为独家保荐人；预期股份将于2022年11月16日于联交所主板挂牌上市。
集团是一家拥有超过16年经验的天然气营运商。集团于山东省潍坊巿高密市运营。高密市面积约为1523.5平方公里，截至2021年的居住人口约为89.5万人。集团已经连续五年获评为高密市优秀企业。根据中郡县域经济研究所发布的《2021县域经济与县域发展监测评估报告》，高密市于2021年在中国百强县中排名第74。集团与高密市市政管理局订立特许协议，据此，集团拥有独家权利于经营区域内营运管道天然气销售及相关业务，有效期自2009年8月18日起为期30年。于最后实际可行日期，集团特许权下的经营区域占高密市总行政区域的约70.0%。集团的管道天然气供应商为中石油及山东实华(由中石化拥有50%)。集团已就管道天然气采购与彼等订立主协议及一系列实际采购合约。集团的管道天然气客户主要为零售(包括住宅、商业及工业)管道天然气终端用户。集团亦从事压缩天然气及液化天然气销售、提供建设及安装服务及燃气器具销售。于最后实际可行日期，集团不拟将其业务扩展至高密市以外。
集团估计将收到全球发售所得款项净额约1.222亿港元(假设发售价为每股股份1.52港元，即指示性发售价范围的中位数)，此经扣除包销费用及佣金以及集团有关全球发售的估计已付及应付开支，并假设超额配股权未获行使。其中全球发售所得款项净额约48.5%，将用于上市后三年内通过在经营区域内建设约101.0公里的新中压管道(涵盖若干农村及偏远工业地区)，以扩充管道天然气销售业务；约20.5%将用于升级集团约43.4公里的城巿管道网络；约6.9%将用为经营区域内超过1.95万个家庭将现有燃气表更换为金卡表；约14.1%将用于建设合共约18.0公里的管道天然气终端用户管道并将该等管道连接至集团的城市管道网络以实践清洁能源村庄项目，惠及经营区域内超过5500个家庭；及占全球发售所得款项净额约10.0%将用作营运资金及其他一般公司用途。
